Board of Directors Meetings are scheduled for the Board to conduct Association business and this is accomplished through a process of discussion, deliberation, and decision-making. Homeowner questions, comments, concerns and opinions are important to the Board and the homeowners in attendance should have an opportunity to be heard in this process. In order to ensure that all comments are heard, the Board has the authority to place reasonable time restrictions on those wanting to be heard, per ARS 33-1804 / 33-1248. The Board may not act on items brought forth in the Homeowner Forum but can set them for a future agenda item. Please know that prior to the Board taking a formal action on an item under discussion, the homeowners will have an opportunity to give their opinion.

Call to Order Charlotte Morgan, President, called the meeting to order at 5:30 p.m.

Approval of Minutes a. Meeting Minutes for January 13th, 2021. Charlotte Morgan made a motion to approve the meeting minutes. A second motion was made, the motion passed.

Guest Speakers a. Ryan Hagadorn from ABC Scapes spoke about landscaping and projects in community.

Financial Review & Management Report a. Kathleen Schwartz, Treasurer, reviewed financials.

New Business a. Landscape controllers: Tracy Blake made a motion to approve the bid for $3,557.51 from ABC Scapes. A second motion was made. The motion passed.

b. Dumpster Signs - Tabled

c. Insurance Policy Change: Move to Bare Wall Policy. Tracy Blake made a motion to approve the new insurance policy to accept a Bare Wall Policy, a second motion was made, the motion passed 4 to 1. d. President’s Message: Charlotte Morgan gave her resignation as Board President effective February 28th, 2021. Charlotte Morgan made a motion to appoint Tracy Blake to Board President effective March 1st, 2021. A second motion was made. The motion passed.

e. Charlotte Morgan made a motion for Sean Mc Carty to become Vice President effective March 1st, 2021. A second motion was made. The motion passed.

f. Charlotte Morgan made a motion to appoint Daniel Bucklin to the Board and to the position of Secretary, a second motion was made. The motion passed.

Old Business a. Parking Striping Proposal - Tracy Blake made a motion to approve the TSS Enterprise bid. A second motion was made. The motion passed 4 to 1.

b. Tree removal - Sean made to approve the proposal to remove the trees, a second motion was made, the motion passed.

c. Pigeon Proposal - Sean made a motion to approve Bills Pest and Termite bid to have the cleaning and the mesh completed on the units, a second motion was made, the motion passed.

1. Maintenance cost, The curbs get scuffed by tires then they have to be repainted. This will be an on going maintenance issue. 2. Loading zone for UPS and Federal Express trucks? 3. Appearance 4. If people are parking with NO Parking signs do you really think a red curb is going to stop them? 6. How large of an issue is this? Do we have lines of vehicles parked in our streets day and night? 7. Do you have any studies which shows red curving a community brings down parking in a fire lane street. As board members we are supposed to do research and present it before making any decision. 8. I have no idea where this board is finding the money for this unnecessary item for our community, which will be an on going maintenance cost to our budget. The board needs to address the items in our community which need to be repaired or maintained.

Solution: I would suggest adding a secondary sign below the NO parking sign with the cost of the fine and text stating the person who is parking will be responsible for the fine, if they are cited. Send out a letter to all of our members also stating they would be responsible for the fine if they park in the street. Indicate the dollar amount of the fine. It is in our CCRs to first give a warning to our members if there will be any fine which our members could be fined. The extra sign will also alert any visitors parking in the street. This will remove the Association responsibility and liability. The cost for the signs will be a fraction plus there will be no maintenance. LANDSCAPE ENHANCEMENT PROPOSAL/AGREEMENT

STANDARD TERMS AND CONDITIONS 3229 W. (Contractor) and Owner shall include and be subject to Contractor’s Standard Terms and Conditions. The terms of the Agreement shall prevail over any different or additional terms contained in any document to which Contractor’s work related. Contractors’ commencement of work shall constitute Owner’s acceptance of the Agreement. 1. PAYMENT TERMS. a. NET 30 DAYS b. A late payment/finance charge of 1.5% per month will be added to any unpaid balance exceeding 30 days. Purchaser agrees to pay any and all court costs and attorneys’ fees that Contractor incurs to enforce any payment disputes or to enforce the terms of this agreement. 2. SPECIFICATIONS: a. PLANTINGS: i. All plantings to be true to their size and type according to contractor specifications. ii. Planting and care will be to Arizona Registrar of Contractor minimum workmanship standards. b. ROCK: i. All rock will be installed in the size, density, and color indicated in the Proposal. ii. Color may vary due to age of existing materials. The contractor is not responsible for exact color matches which may vary due to exposure and source of material. c. IRRIGATION: i. All irrigation installation/repairs shall be conducted in accordance with Arizona minimum workmanship standards and any applicable local building code. ii. All material will be of new quality unless otherwise specified. d. UNDERGROUND EXCAVATION: i. Contractor shall abide by all blue stake ordinances in effect at the time of this agreement. It is the responsibility of the Owner or agent to notify Contractor of any underground utilities or other obstructions in all areas where blue stake is not provided or for other utilities/obstructions not part of a blue stake service. Should damage occur as a result of failure to notify the Contractor, the Owner agrees to pay for any and all damages and from Owner's failure to properly notify Contractor and shall indemnify, defend and hold Contractor harmless from any and all claims that result or arise out of the failure to notify Contractor. ii. HARD DIG – The parties recognize the possibility of unfavorable conditions underground that might include excessive rock or other unforeseen obstructions below the surface that may increase construction time and labor. Owner shall absorb all costs incurred from unknown conditions such as rock removal, poor digging conditions provided Contractor provides written notice of the unfavorable conditions. If the parties are unable to agree on a new price due to the unfavorable conditions, Contractor will charge on a time and material basis. e. HERBICIDE APPLICATION: i. Unless otherwise requested in writing, execution of this agreement gives permission to Contractor to retain all herbicide application logs on behalf of the Owner. Application of herbicide and required documentation will comply with applicable state law. f. PRE-EMERGENT i. Owner understands that for effective control of weeds, the pre-emergent product must receive a minimum 1/2 inch of rain within 30 days following application. This moisture properly incorporates the product into the soil for effective control of new weeds. If this rain is received within the 30 days from application of the pre-emergent, the Contractor will perform post-emergent spot treatments every 60 days for the first 6 months from application to control weeds. If there is no rain, as stated, the Contractor cannot be responsible for weed control. g. WASH AND DRAINAGE WORK i. The scope of any work associated with wash and drainage is strictly limited to clean and or/repair of the existing drainage and existing grade. The Contractor has not been hired to alter the preexisting grading or drainage and does not represent to offer any expertise regarding the pre-existing design, engineering or efficiency of the grading and drainage design. Contractor is not responsible for a geotechnical or engineering analysis regarding the existing work. If engineering is necessary, Owner will be responsible for those additional expenses. h. PAINT: i. If matching existing painted surface, color may vary due to age of existing material. The contractor is not responsible for exact color matches which may vary due to exposure, condition of current surface and source of material.

3. WARRANTY

OWNER UNDERSTANDS THAT CONTRACTOR IS NOT OBLIGATED TO PERFORM WARRANTY WORK IF ANY ACCOUNT CONTRACTOR HAS WITH OWNER IS PAST DUE. OWNER MUST PROMPTLY PAY CONTRACTOR BEFORE CONTRACTOR IS OBLIGATED TO PERFORM WARRANTY WORK. b. Notwithstanding any other provision in the Parties’ Agreement, Contractor makes no implied warranties. c. PLANTINGS: i. Plants will be guaranteed for a period of 90 days and trees will be guaranteed for a period of 1 year from the date of installation, with exemptions for causes beyond Contractor’s control. Irrigation of plants must be under the control of the contractor in order for the warranty to apply. d. IRRIGATION: i. Defects in workmanship will be repaired at no cost to the owner for the period indicated below. Corrective work must be consistent with the original request. Circumstances beyond the control of the contractor, acts of God, vandalism, and acts of third parties are not covered. Cost of such repairs is limited to the repair of the irrigation system only. ii. Replacement / Repair Period: 1. ______ DAYS FROM COMPLETION (30 days if not otherwise stated) e. PAINT: i. Contractor will warrant the painting for a period of ______ months form the date of completion. (6 months if not otherwise stated). All material is covered in accordance with any applicable manufacturer warranty. f. TRASH CONTAINMENT PRODUCTS i. Material is warranted against any workmanship defect for a period of 12 months from date of purchase. This warranty does not apply to damage resulting from act of god, accident caused by anyone other than Contractor, alteration, misuse, vandalism, tampering or abuse. 4. MISCELLANEOUS a. Owner promises it will not solicit Contractor’s employees to perform additional work outside of this agreement with Contractor. 5. LIMITATIONS OF LIABILITY a. Owner and Contractor recognize the relative risks and benefits of this Agreement and agree to the fair allocation of risk between them as follows: b. Notwithstanding any other provision of this Agreement, Contractor’s total aggregate liability to any Person or Entity including Owner on any claim, action or liability arising out of the work performed by Contractor shall be strictly limited to the greater of $25,000 or the fee charged for Owner’s work. c. In no event shall Contractor be liable for any direct, indirect, punitive, exemplary, or consequential damages arising out of its Work or material provided to Owner.

1. Why should members without pets have to pay for these custom doggie trash cans? 2. We have placement of 5 trash bins areas where our members can dispose of the doggie waste. With these custom doggie trash cans the Association will have to hire a maintenance company to remove the doggie waste from the doggie trashcan to put it in the trash bin. How often will these trash cans be cleaned out and bags added? Because the waste would be a fly hazard, attracting flies if the waist is not picked up within a certain amount of time. Do you have any estimates on the maintenance of these doggy trash cans? 3.What happens when there are no bags at these doggie stations for the members to use. We have dog waste everywhere. What about when the dog the can’t make it to the doggy station and the dog owner has to leave the dog waste in the grass to pick it up later when they pick up the bag at the doggie station. Will the member go back and pick up after their pet? 4.Maintenance cost? Why should the members without pets have to pay for the maintenance of the pick up and disposal of each one of these doggy trash cans. Do you think these Dougie trash cans are going to make the members pick up after their dog? If they’re not picking up after their dog now, a custom doggie trashcan isn’t going to do the trick. The doggie trash cans are a convenience item and a high maintenance cost which we do not have the money in the budget for. So are you going to raise assessments for all or apply a special assessment just for dog owners for this convenience? 5. Also I would like to add, The responsibility of the dogs Waste should be on the dog owner. Placing these doggie stations up shifts the responsibility on to the Association to maintain the dog stations. If there are no bags in these dog stations then the Association will have a problem with dog waste everywhere within the community.
