HEARING INFORMATION The hearing is set for:

If you have requested to appear in-person at the hearing, the hearing will be held at 1740 W Adams Street, Phoenix, AZ 85007.

You must attend this hearing. This is an adversarial hearing before an administrative law judge, and is conducted in a similar manner as judicial proceedings. Thus, you must be

prepared to present evidence, including witness testimony and documents, in support of your case.

STATEMENT OF LEGAL AUTHORITY AND JURISDICTION

The State of Arizona has determined that the licensing and regulation of construction contractors is a proper state function, and has vested authority in the Registrar of Contractors to administer Title 32, Chapter 10 of the Arizona Revised Statutes. A.R.S. §§ 32-1101 et seq. All hearings for alleged violations of Title 32, Chapter 10 are conducted under Title 41,

Chapter 6, Article 10. A.R.S. § 32-1156.

PARTICULAR ARIZONA STATUTES AND RULES INVOLVED

The statutes and rules the Respondent is alleged to have violated are cited in the

complaint and citation, which were served on the Respondent on June 24, 2024. SHORT AND PLAIN STATEMENT OF THE MATTERS ASSERTED

The complaint and citation allege that the Respondent committed the following act(s): Charge: 1 A.R.S. § 32-1154(A)(10)

THE PARTIES TO THE ADMINISTRATIVE HEARING Because Respondent is a licensee and is charged with an act(s) or omission(s) that is cause for the suspension or revocation of a license, Respondent is a party to this case and will be a party to the hearing. Because Complainant alleged Respondent committed an act(s) or omission(s) that is cause for the suspension or revocation of a license, Complainant is a party to this case and will

be a party to the hearing.

Respondent and Complainant, as the parties to the hearing, will present evidence and

argument to the administrative law judge.

RIGHT TO BE REPRESENTED The parties to the administrative hearing may choose to be represented by an attorney. A.R.S. § 41-1092.07(B). If one of the parties is a company, the company may be represented

by an officer or employee if that person satisfies the conditions set forth in A.R.S. § 32-

1156(B).

CHANGE OF ADDRESS Each party must inform the Registrar and the Office of Administrative Hearings of any change of address within five (5) days of the change. A.R.S. § 41-1092.04.

HEARING PROCEDURES AND RULES

The administrative hearing will be conducted in accordance with A.R.S. §§ 41-1092 to -1092.12, and A.A.C. R2-19-101 to -122. The parties should review the statutes, rules, and

processes governing the administrative hearing. Copies of the statutes, rules, and articles regarding the administrative hearing process can be found at https://www.azoah.com/.

REGISTRAR’S APPEARANCE BY VIDEO CONFERENCE OR TELEPHONE

The Registrar’s investigators, employees, and attorneys will appear at the hearing via

video conference or telephone unless requested by a party to appear in-person. Requests for the Registrar’s investigators, employees, or attorneys to appear in-person must be filed with the Registrar and the Office of Administrative Hearings no later than seven (7) calendar days prior to the hearing date.

HEARING PACKET

In the interests of administrative efficiency, the Registrar compiles and discloses

certain documents to the parties and the Office of Administrative Hearings. These documents

are attached to this Notice of Hearing as the “Hearing Packet.” If any party wishes to submit additional evidence, they must do so during the hearing after completing a disclosure statement. See “Disclosure Statement” section below.

SUBPOENAS FOR TESTIMONY FROM A WITNESS OR DOCUMENTS

The parties to the hearing must be prepared to present evidence in support of their

case. If a party wants to obtain testimony from a witness or documents not in the party’s

possession, the party must prepare and file a written subpoena for the Administrative Law

Judge to review and sign, if approved. A.R.S. § 41-1092.07(C). Forms for requesting a subpoena can be found on the Office of Administrative Hearings’ website at www.azoah.com.

The party seeking a subpoena must serve notice on all the parties to the hearing, and on the Registrar. A.R.S. § 41-1092.04.

DISCLOSURE STATEMENT

At least seven calendar days before the hearing, each party must prepare and serve a

disclosure statement on all other parties, and file it with the Office of Administrative Hearings. A.A.C. R4-9-118; A.A.C. R2-19-108. The disclosure statement must include any exhibit the party will use at the hearing. A party’s failure to timely disclose any witness or exhibit, without good cause, may result in the administrative law judge excluding those witnesses or exhibits from being used at the hearing. CHANGING THE HEARING DATE

The date of the hearing may only be advanced or delayed on the agreement of the

parties or on a showing of good cause. A.R.S. § 41-1092.05(C). The date of the hearing may

be changed by filing a written agreement of the parties to change the date of the hearing. The

written agreement must be filed with the Office of Administrative Hearings, directed to the assigned Administrative Law Judge, and transmitted to the Registrar and all other parties. The assigned Administrative Law Judge may be found on the Office of Administrative Hearings’ web portal at www.azoah.com

If a party would like to move the date of the hearing without agreement of all parties, the party must file a written motion with the Office of Administrative Hearings, directed to the assigned Administrative Law Judge, and transmit a copy to the Registrar and all other parties. The motion must state in detail good cause for why the date of the hearing should be advanced or delayed, and the position of all other parties regarding the advancement or delay. A party may also file a motion asserting a right to an expedited hearing upon a showing of

extraordinary circumstances or the possibility of irreparable harm. A.R.S. § 41-1092.05(E).

RESOLUTION SHORT OF ADJUDICATION In any case which is resolved or settled by the parties, or which is withdrawn by the Complainant without objection from Respondent after the Notice of Hearing is issued, the parties must notify the Office of Administrative Hearings of the resolution or settlement. Any such cases will be listed on the Registrar’s website and its records under the category: “Closed

Complaints – Resolved/Settled/Withdrawn.”

To whom it may concern. Hello, This is regarding complaint number 2024-06025 filed against my company "Legacy Construction and Consulting LLC"

Few minutes before sending this email I spoke with a lady at the legal department, and per her direction I am sending this email.

Before addressing the complaint, the lady I spoke with, also encouraged me to explain the following. The email for the complaint was sent to me on May 30th but I didn't check my email over the weekend and just saw it on Monday the 3rd and considering that I wanted to seek an attorney advice, I really didn't have a chance to send my response by the 6th of June.

Also the actual mailed letter was posted on the 30th and my wife didn't see it until also Monday the 3rd.

So I apologize that this response is passed the due date.

As far as the actual complaint and my response:

While I know Mr. Carlos Martinez, I have never granted him the contract that is attached with the complaint. As a matter of fact, the very first time I have ever seen this contract was when the ROC sent me the complaint and attached contract in the email.

Please note I have attached a copy of Arizona Corporation Commission documentation on my company. My company is a single member LLC and Mr. Caleb Riley who has entered into contract with Mr. Martinez, does not and never has had any affiliation with Legacy Construction and Consulting LLC. In addition, I have never given any authorization to a "Mr. Caleb Riley" to enter into any contract with Mr. Martinez or anyone else.

As I mentioned above, I have never seen, signed, or approved the contract that is attached in the complaint.

Furthermore, I have not seen any evidence of any of the work that Mr. Martinez is invoicing for. As a matter of fact, while I do not accept the contract that is attached in the complaint, I couldn't help to notice that the 3 invoices also seem just "Made Up" because they don't even match with the pricing sheet at the end of the contract initialed by Mr. Martinez.

Again, this contract is not signed, approved or ever been at my possession, and I am just pointing out that the invoices seem made up and don't match the contract.

Considering that the contract is not valid, because it is not my contract, I ask kindly that the ROC legal department close this complaint.

If Mr. Martinez has any further complains, he may contact me, and I will put him in contact with my counsel.

My name is William Keshishi, and I own Legacy construction and consulting LLC Lic# 296890 hereinafter called LEGACY LLC, and a second company called Express truss and framing systems LLC “A roof truss manufacturing company” hereinafter called EXPRESS LLC

Following is my response to citation in Case No. 2024-06025

STATEMENT OF FACTS 1) The Project that the complainant “CMTZ” claims has worked at, belongs to a development company called CENTURY COMPLETE HOMES LLC. Hereinafter is called CENTURY LLC. 2) Express LLC, which is a wall and truss manufacturing company had a direct contract with Century LLC to manufacture and deliver wall panels and trusses for multiple of jobsites and house models and erect the walls and trusses at di erent jobsites. 3) Legacy LLC was hired by Express LLC to perform field installation of said wall panels and trusses for Century LLC at di erent job addresses. 4) Express LLC. was a partnership between I, William Keshishi and a Caleb Riley 5) Legacy LLC is a company solely owned by me, William Keshishi, and has no other partners or operators. 6) CENTURY LLC was supposed to Pay Express LLC, then Express LLC was Supposed to pay Legacy LLC for field work and finally LEGACY LLC would have to pay any sub-contractors it had hired.

ARGUMENTS Argument #1: Validity of contract between CMTZ and Legacy LLC.

1) As mentioned in my email response to the original complaint on 6/13/24 to the legal department at ROC, CALEB RILEY is not and has never been a partner, agent, employee or in any other means a member of LEGACY LLC. 2) Mr. Riley has never had authority to draft, and execute or sign any contract with CMTZ on behalf of LEGACY LLC. 3) The contract clearly shows that it was fraudulently drafted and signed by Caleb Riley. 4) I, William Keshishi, never had any knowledge of any agreement / contract between Mr. Riley and CMTZ drafted under my company name “LEGACY LLC” and never granted this contract to CMTZ. 5) The very first time I saw this contract is when I received it as an attachment to the complaint from AZROC. So, since this contract was drafted and executed by an unauthorized person without my permission or knowledge, it should be considered invalid and void.

Argument #2: Contesting Charge #1

Express LLC never got paid from project owner “Century LLC” for materials and labors provided, therefore it could not pay its own employees and its sub-contractor “Legacy LLC” which subsequently could not fulfill its obligations to any of its possible sub- contractors.

Therefore, even if CMTZ has in fact performed the work that it claims, “Which there is no evidence provided to me and it is subject of my other arguments”,

Following A.R.S 32-1154(a)(10), LEGACY LLC can present evidence in a future administrative hearing and prove that it has not received su icient monies as payment and wouldn’t have the capacity to pay such invoices to CMTZ even if they were valid.

Argument #3: Lack of due diligence on behalf of CMTZ.

Considering the owner of CMTZ is a licensed contractor, one would expect that CMTZ would have done a minimum amount of due diligence and easily find out that they are signing a contract with a person “Caleb Riley” who has no authority to draft and execute a contract with CMTZ.

1) A simple search in AZROC will show that only I, William Keshishi, am a member of LEGACY LLC. 2) A search in Arizona corporate commission will also show that Mr. Riley in no capacity is involved with LEGACY LLC. 3) The address at the bottom of the contract is not Legacy LLC address. 4) The phone number at the bottom of the contract is not Legacy LLC phone number.

Any of the points above should have raised a red flag for CMTZ not to contract with Caleb Riley and should have contacted me directly.

Argument #4: Questionable invoicing and breach of terms of contract.

While I absolutely reject the validity of the contract presented by CMTZ, I would like to point out:

1) The invoices presented as an attachment to the complaint and the citation are very questionable: a. It is very simple to create such unprofessional invoices and claim these jobs have been performed. Received 7/09/2024 ROC Legal

b. Ther is no proof or paperwork provided to me to show that CMTZ has ever been asked or has performed work at all of these LOT#s that are invoiced. c. The price per square foot of the invoices provided by CMTZ does not even match the “Agreed” and signed pricing sheet that is at the end of the contract.

2) Breach of terms of contract.

Again: While I absolutely reject the validity of the contract presented by CMTZ, I would like to point out that CMTZ is in breach of multiple terms of this contract.

Below is a list of some items that CMTZ has not followed.

 Line #6 requires invoices to be presented by CMTZ on timely manner to be paid, which I have never been presented any invoices.

 Line #24 and #25, along with the pricing sheet at the end of the contract make it very clear that the price per square feet for all the house models is $4.00 / SF. And any changes in this price must be in writing. CMTZ has not provided such paperwork proving approval of the price increase, however in the invoices that they are providing, they are trying to charge more per square foot than agreed in the contract. One can see clearly that they are trying to charge $4.75 or even $5.00 per square foot.

 Paragraph Thirteenth and Seventeen: These paragraphs clearly demand proper paperwork such as o Certificate of liability insurances with LEGACY LLC named as additional insured o Proof of workers-comp insurance o Lien wavers and releases.

None of which has ever been presented to me.

Summary:

1) The contract should not be deemed valid. And it was fraudulently drafted and executed by an unauthorized person. Received 7/09/2024 ROC Legal

2) Following A.R.S 32-1154(a)(10), LEGACY LLC can present evidence in a future administrative hearing and prove that it would not have the capacity to pay such invoices to CMTZ even if they were valid. 3) CMTZ is has not operated in a manner consistent with the signed contract “even if it was valid” a. CMTZ has not provided any documents that shows they have been asked to perform work at any of the LOT#s that they claim b. Providing any evidence that they have in fact performed work at these LOT#s that are being invoiced c. CMTZ has never provided any of the paperwork that is listed in the contract such as the proper insurances and timely invoices. d. The invoices provided attached to the complaint lack any professional aspect and any supporting documentation.

Therefore I, William Keshishi, respectfully ask the legal department of AZROC, based on the arguments above not to suspend or revoke my license, in addition I will respectfully attend any scheduled hearing to present my case further.

PREHEARING DISCLOSURE REQUIREMENT Under A.A.C. R4-9-118(A), before a hearing, the parties must prepare a disclosure statement. The disclosure statement must contain: • A list of all the witnesses the party will call to testify, including the witnesses’ contact information and a brief description of the subject matter of the witnesses’ expected testimony; and • A list of all the exhibits that the party will use at the hearing.

EXCHANGING DISCLOSURE STATEMENTS AND EXHIBITS Under A.A.C. R4-9-118(B) (effective November 5, 2017), a party to the hearing must serve on every other party and file with the Office of Administrative Hearings a copy of: • The disclosure statement; and, • Any exhibit that the party will use at the hearing. Service: The disclosure statement and exhibits must be served on all parties in accordance with Arizona Administrative Code R2-19-108 Filing Documents. Under A.A.C. R2-19-108, service is completed by: • Personal delivery; • 1st class, certified or express mail; or • Facsimile. Timing: The disclosure statement and the exhibits must be served and filed not less than seven calendar days before the date of the hearing. Under A.A.C. R2-19-108, a document is served on a party: • On the date it is personally served; • Five days after it is mailed by express or 1st class mail; • On the date of the return receipt if it is mailed by certified mail; or • On the date indicated on the facsimile transmission.

CONSEQUENCES FOR FAILING TO DISCLOSE Under A.A.C. R4-9-108(C), if a witness or an exhibit is not timely disclosed as required the rules, and good cause for the failure to disclose is not shown, then the administrative law judge may: • Order that certain witnesses or exhibits not be used at the hearing; • Order that a particular fact is or is not established for the record; or, • Order that a charge, a defense, a claim, or some portion thereof, be dismissed.
