HEARING INFORMATION The hearing is set for:

If you have requested to appear in-person at the hearing, the hearing will be held at 1740 W Adams Street, Phoenix, AZ 85007.
You must attend this hearing. This is an adversarial hearing before an administrative law judge, and is conducted in a similar manner as judicial proceedings. Thus, you must be
prepared to present evidence, including witness testimony and documents, in support of your case.
STATEMENT OF LEGAL AUTHORITY AND JURISDICTION
The State of Arizona has determined that the licensing and regulation of construction contractors is a proper state function, and has vested authority in the Registrar of Contractors to administer Title 32, Chapter 10 of the Arizona Revised Statutes. A.R.S. §§ 32-1101 et seq. All hearings for alleged violations of Title 32, Chapter 10 are conducted under Title 41,
Chapter 6, Article 10. A.R.S. § 32-1156.

PARTICULAR ARIZONA STATUTES AND RULES INVOLVED
The statutes and rules the Respondent is alleged to have violated are cited in the
complaint and citation, which were served on the Respondent on April 23, 2024. SHORT AND PLAIN STATEMENT OF THE MATTERS ASSERTED
The complaint and citation allege that the Respondent committed the following act(s): Charge: 1 A.R.S. § 32-1154 (A)(10)
THE PARTIES TO THE ADMINISTRATIVE HEARING Because Respondent is a licensee and is charged with an act(s) or omission(s) that is cause for the suspension or revocation of a license, Respondent is a party to this case and will be a party to the hearing. Because Complainant alleged Respondent committed an act(s) or omission(s) that is cause for the suspension or revocation of a license, Complainant is a party to this case and will
be a party to the hearing.
Respondent and Complainant, as the parties to the hearing, will present evidence and
argument to the administrative law judge.
RIGHT TO BE REPRESENTED The parties to the administrative hearing may choose to be represented by an attorney. A.R.S. § 41-1092.07(B). If one of the parties is a company, the company may be represented
by an officer or employee if that person satisfies the conditions set forth in A.R.S. § 32-
1156(B).
CHANGE OF ADDRESS Each party must inform the Registrar and the Office of Administrative Hearings of any change of address within five (5) days of the change. A.R.S. § 41-1092.04.
HEARING PROCEDURES AND RULES
The administrative hearing will be conducted in accordance with A.R.S. §§ 41-1092 to -1092.12, and A.A.C. R2-19-101 to -122. The parties should review the statutes, rules, and
processes governing the administrative hearing. Copies of the statutes, rules, and articles regarding the administrative hearing process can be found at https://www.azoah.com/.
REGISTRAR’S APPEARANCE BY VIDEO CONFERENCE OR TELEPHONE
The Registrar’s investigators, employees, and attorneys will appear at the hearing via
video conference or telephone unless requested by a party to appear in-person. Requests for the Registrar’s investigators, employees, or attorneys to appear in-person must be filed with the Registrar and the Office of Administrative Hearings no later than seven (7) calendar days prior to the hearing date.
HEARING PACKET
In the interests of administrative efficiency, the Registrar compiles and discloses
certain documents to the parties and the Office of Administrative Hearings. These documents
are attached to this Notice of Hearing as the “Hearing Packet.” If any party wishes to submit additional evidence, they must do so during the hearing after completing a disclosure statement. See “Disclosure Statement” section below.
SUBPOENAS FOR TESTIMONY FROM A WITNESS OR DOCUMENTS
The parties to the hearing must be prepared to present evidence in support of their
case. If a party wants to obtain testimony from a witness or documents not in the party’s
possession, the party must prepare and file a written subpoena for the Administrative Law
Judge to review and sign, if approved. A.R.S. § 41-1092.07(C). Forms for requesting a subpoena can be found on the Office of Administrative Hearings’ website at www.azoah.com.
The party seeking a subpoena must serve notice on all the parties to the hearing, and on the Registrar. A.R.S. § 41-1092.04.
DISCLOSURE STATEMENT
At least seven calendar days before the hearing, each party must prepare and serve a
disclosure statement on all other parties, and file it with the Office of Administrative Hearings. A.A.C. R4-9-118; A.A.C. R2-19-108. The disclosure statement must include any exhibit the party will use at the hearing. A party’s failure to timely disclose any witness or exhibit, without good cause, may result in the administrative law judge excluding those witnesses or exhibits from being used at the hearing. CHANGING THE HEARING DATE
The date of the hearing may only be advanced or delayed on the agreement of the
parties or on a showing of good cause. A.R.S. § 41-1092.05(C). The date of the hearing may
be changed by filing a written agreement of the parties to change the date of the hearing. The
written agreement must be filed with the Office of Administrative Hearings, directed to the assigned Administrative Law Judge, and transmitted to the Registrar and all other parties. The assigned Administrative Law Judge may be found on the Office of Administrative Hearings’ web portal at www.azoah.com
If a party would like to move the date of the hearing without agreement of all parties, the party must file a written motion with the Office of Administrative Hearings, directed to the assigned Administrative Law Judge, and transmit a copy to the Registrar and all other parties. The motion must state in detail good cause for why the date of the hearing should be advanced or delayed, and the position of all other parties regarding the advancement or delay. A party may also file a motion asserting a right to an expedited hearing upon a showing of
extraordinary circumstances or the possibility of irreparable harm. A.R.S. § 41-1092.05(E).
RESOLUTION SHORT OF ADJUDICATION In any case which is resolved or settled by the parties, or which is withdrawn by the Complainant without objection from Respondent after the Notice of Hearing is issued, the parties must notify the Office of Administrative Hearings of the resolution or settlement. Any such cases will be listed on the Registrar’s website and its records under the category: “Closed
Complaints – Resolved/Settled/Withdrawn.”

lf Subcontractor requests or recommends any revisions or substitutions, Subcontrador represents that such revisions or substitutions are equalto the items specified in appearance, capacity, quality, efficiency, and durability, and that the use of such revisions or substitutions will not interfere with the work of Contraclor or any other subcontractor.

Subconlractor shall commence the Work only after receiving written authorization from Contractor to begin Work. The Work shall be completed as Specified and in accordance with the Progress Schedules.
PRICE OF WORK:
Contractor shall pay Subcont.actor for the performance of the V'Vork, subieci to additions and deductions by written Cfiange Order in the Subcontrad Documents, the total sum of $ 34 .00 (l he "Subcontracl Price')
Contractor and Subcontractor agree that the only source and fund for any payment by Contractor to Subcontracior shall be from funds actually received by Contractor from Owner, as set forth in more detail in the Subcontractor Master Agreement incorporated herein by reference. Dear Ms. Bell: The invoices provided by CT Drywall have been received by 4 Gen Homes and have been presented to the client. Unfortunately, the change orders were not approved prior to the work being done and the client has objected to paying the change orders. The requested change order for “repairs” in the home are substantial and exceed 46% of the original contract to install and finish drywall in the new 5300 square foot residence. The work authorization provided by CT Drywall has a pay when/if paid clause that is also referenced in our more comprehensive subcontractor agreement that we have with them. 4 Gen Homes will comply with the terms of the subcontractor agreement and work authorization. We are still in the process of negotiating with the owner regarding payment of the change orders. While we cannot guarantee that negotiations will be successful, there is still a possibility additional payment will be received.

the event these authorities require any changes as a condition of their approval, Subcontractor shall perform the \ /ork in accordance with such changes. Subcontractor acknowledges that it is not authorized 10 perform any Work otherthan as specified in a written Notice to Proceed or Change Ordersigned by Contractor.
Subcontractor represents that it has carefully examined and understands the Conlract Documents, has investigated the Site and observed the conditions and difficulties underwhich the Work is to be performed and is familiar with all applicable buiuing codes and industry standards, and other local, state and federal govemmental and agency laws, rules, regulations, requirements and agreements as may be applicable thereto (colleclively, "Legal Requirements'), and that il has entered into this Subcontract on the basis of its own examination, investigation and evaluation of all such matters and not in reliance upon any opinions or representations of Contractor or Owner, or of any oflheir respedive officers, agents, or employees.
Subcontraclor shall notiry Contractor, in writing, of any discrepancy, error or omission discovered by Subcontraclor in the Plans and Specifications, or the physical conditions uncovered or revealed at the Site differing materially from that indicated, reflecled or reasonably infened from the Contract Documents, and continuation oflhe Work subsequent to such discovery shall be at Subcontractois risk. Minor items of work or material omitted from the plans or specifications, but clearly inferable fom the information presented or which are called for by acc€pted trade practice, shall be provided and performed by Subcontractor at no additional charge over the original Subcontrad Price.
lf Subcontractor requests or recommends any revisions or substitutions, Subcontrador represents that such revisions or substitutions are equalto the items specified in appearance, capacity, quality, efficiency, and durability, and that the use of such revisions or substitutions will not interfere with the work of Contraclor or any other subcontractor.
All materials, equipment, supplies and any other iterns incomorated in to the Work shall be new, and all Work shall be (D of good and workmanlike quality, (iD in slrict conformance with the Plans and Speciflcations applicable thereto, all other terms and conditions hereof, all Legal Requirements; and (ii, shall pass all applicable state, local or federal govemmental or agency inspections. Designation of any manufactured articles, implement, equipment, or series thereof in the plans or specifications by name, trade name or manufaciurefs name establishes a standard of merit and quality, and Subcontraclor shall not be entitled to use a substitute of any such item unless it meets or exceeds such standards and is first approved in writing by Contracior.
Subconlractor shall commence the Work only after receiving written authorization from Contractor to begin Work. The Work shall be completed as Specified and in accordance with the Progress Schedules.
PRICE OF WORK:
Contractor shall pay Subcont.actor for the performance of the V'Vork, subieci to additions and deductions by written Cfiange Order in the Subcontrad Documents, the total sum of $ 34 .00 (l he "Subcontracl Price')
Contractor and Subcontractor agree that the only source and fund for any payment by Contractor to Subcontracior shall be from funds actually received by Contractor from Owner, as set forth in more detail in the Subcontractor Master Agreement incorporated herein by reference. Dear Ms. Bell: The invoices provided by CT Drywall have been received by 4 Gen Homes and have been presented to the client. Unfortunately, the change orders were not approved prior to the work being done and the client has objected to paying the change orders. The requested change order for “repairs” in the home are substantial and exceed 46% of the original contract to install and finish drywall in the new 5300 square foot residence. The work authorization provided by CT Drywall has a pay when/if paid clause that is also referenced in our more comprehensive subcontractor agreement that we have with them. 4 Gen Homes will comply with the terms of the subcontractor agreement and work authorization. We are still in the process of negotiating with the owner regarding payment of the change orders. While we cannot guarantee that negotiations will be successful, there is still a possibility additional payment will be received.

Contractors (hereinafter “ROC”) issued the Citation on April 23, 2024; and CT Drywall, LLC (hereinafter “Complainant”) filed the initial Complaint on March 26, 2024 (hereinafter “Citation and Complaint”).

Charge: 1 A.R.S. § 33-1154(A)(10) (A) The holder of a license or any person named on a license pursuant to this chapter may not commit any of the following acts or omissions: (10)Failure by a licensee or agent or official of a licensee to pay monies in excess of $750 when due for materials or services rendered in connection with the licensee's operations as a contractor unless the licensee proves that the licensee lacks the capacity to pay and has not received sufficient monies as payment for the particular construction work project or operation for which the services or materials were rendered or purchased. Respondent begins with that specific language contained in A.R.S. § 33-1154(A)(10) regarding payment when the licensee (“Contractor”) has the capacity to pay. Specifically, this part of the statute reads:
unless the licensee proves that the licensee lacks the capacity to pay and has not received sufficient monies as payment for the particular construction work project or operation for which the services or materials were rendered or purchased. Emphasis added. This specific language in the statute is clear in that the Contractor is required to pay the sub- contractor when it has the capacity to do so.
Complainant and Respondent entered into a Master Subcontractor Agreement (“Agreement”) on January 19, 2022, and both parties signed the Agreement on February 15, 2022. This Agreement also contained the Supplemental Conditions to Master Subcontractor Agreement (“Supplemental Conditions”). The Agreement and Supplemental Conditions are attached hereto, and incorporated herein as Exhibit A. Section XI of the Agreement, on pages and 3, is titled Payment. This sections states: With regard to all payments, including progress, final, and retention payments, Subcontractor shall be entitled to be paid only when Contractor has been paid by Owner for Subcontractor’s work. Notwithstanding anything to the contrary in this agreement, Subcontractor understands and agrees that in addition to other prerequisites to payment set forth herein, Contractor’s actual receipt of

payment from the Owner for Subcontractor’s work is an express condition precedent to the Contractor’s obligation to pay Subcontractor for any progress and/or final payments, including change orders. Subcontractor understands and agrees that Subcontractor's recovery from Contractor is limited exclusively to the specific fund created by Owner for each project in the form of payments to Contractor for this project. Subcontractor further understands and agrees that the sole and exclusive source of funds for this subcontract agreement and for each project is the payments made to Contractor from Owner. Subcontractor assumes the risk of Owner's non-payment to Contractor on this project and is relying specifically and only on the Owner's source of funds for payment. Subcontractor further understands and agrees that Contractor shall not be obligated to pay Subcontractor at any time under this subcontract unless and until Owner pays Contractor for Subcontractor's work and only to the extent such payment is made for Subcontractor's work, subject to contract-related set- offs, and provided all other contract requirements with respect to Subcontractor's payment application are met. Subcontractor further understands and agrees that none of its invoicing / payment applications are due and owing to the Subcontractor unless and until the Owner has made such payment for Subcontractor's work to Contractor.
This section makes four things explicitly clear: (1) that the Subcontractor is entitled to be paid only when the Contractor has been paid by the Owner for Subcontractor’s work, (2) Contractor’s actual receipt of payment from the Owner is an express condition precedent to the Contractor’s
obligation to pay the Subcontractor, (3) the Subcontractor is limited to recovering the specific funds created by owner for each project in the form of payments to the Contractor for each project, and (4) Subcontractor assumes the risk of Owner’s non-payment to the Contractor, and that the Contractor is only obligated to pay the Subcontractor at any time under the agreement unless and until Owner pays Contractor for Subcontractor’s work. Further, Respondent and Complainant entered into the Subcontractor Work Authorization (“Work Authorization”) on December 7, 2022, and it was signed by Complainant on December 15, 2022. This Work Authorization is attached hereto and incorporated herein as Exhibit B.

According to the Work Authorization, Subcontractor would be paid $34,500.00 for performing the following work: Hang new drywall 4 inches from ground up in entire house (except for 18ft height ceiling), install corner bead, tape new drywall, float bottom part of drywall to even out with metal base, leave smooth level 5. Ready for paint. *Material Cost Included* Add $2,000.00 for 58/” drywall to be used per text received from German on 8/22/22. Complainant submitted Invoice # 734 to Respondent on or about January 12, 2023, in the amount of $32,500.00. This invoice is attached hereto and incorporated herein as Exhibit C. According to the invoice submitted by the Complainant, Respondent paid Complainant $15,000.00 on December 28, 2022; $10,000.00 on February 20, 2023; and $7,500.00 on April
3, 2023. Thus, Complainant was in fact paid in full for all of the work authorized for Subcontractor to perform. Further, according to the Supplemental Conditions, Article 10 deals with Payment.
Subsection 10.6 states: “Subcontractor shall be entitled to final payment, including the retention if held, extra and change order payments only if (i) the Work has been fully completed and accepted by Contractor, Owner, and any other parties entitled to inspect and accept the work…” The Invoices submitted by Complainant that are the subject of this Citation were in fact all change orders. Complainant never received any additional work authorization for the change orders; nor did the Respondent or Homeowner ever approve or sign any additional change orders. Once Respondent received the invoiced change orders, they were provided to the Homeowner who has not approved them. As previously explained, Respondent is still in the process of

negotiation with the Homeowner regarding payment of the change orders and remains hopeful that some or all of the change orders will be approved and paid by the Homeowner. Thus, Respondent has in fact complied with the Agreement and Work Authorization in paying Complainant the $32,500.00 previously authorized. The additional change orders were never approved by the Respondent or Homeowner and Contractor has not been paid for such change orders by the Homeowner. Moreover, as stated in A.R.S. § 33-1154(A)(10), the Licensee has proven that it lacks the capacity to pay and has not received sufficient monies as payment for the particular construction work project or operation for which the services or materials were rendered or purchased. Thus, there are no grounds for suspension or revocation of Respondent’s license
or cause for a civil penalty. Accordingly, the complaint and charge listed in the Citation should be dismissed with prejudice. Respondent has complied with its legal duties owed to the Complainant.
Respondent does not waive any of its legal rights through this answer, all of which are reserved. WHEREFORE, Respondent files this Written Answer to Citation and Complaint and respectfully requests that the Registrar dismiss this Citation and Complaint with Prejudice.
