You must attend this hearing. This is an adversarial hearing before an administrative law judge, and is conducted in a similar manner as judicial proceedings. Thus, you must be
prepared to present evidence, including witness testimony and documents, in support of your case.
STATEMENT OF LEGAL AUTHORITY AND JURISDICTION
The State of Arizona has determined that the licensing and regulation of construction contractors is a proper state function, and has vested authority in the Registrar of Contractors to administer Title 32, Chapter 10 of the Arizona Revised Statutes. A.R.S. §§ 32-1101 et seq. All hearings for alleged violations of Title 32, Chapter 10 are conducted under Title 41,
Chapter 6, Article 10. A.R.S. § 32-1156.

The statutes and rules the Respondent is alleged to have violated are cited in the
complaint and citation, which were served on the Respondent on May 31, 2024. SHORT AND PLAIN STATEMENT OF THE MATTERS ASSERTED

THE PARTIES TO THE ADMINISTRATIVE HEARING Because Respondent is a licensee and is charged with an act(s) or omission(s) that is cause for the suspension or revocation of a license, Respondent is a party to this case and will be a party to the hearing. Because Complainant alleged Respondent committed an act(s) or omission(s) that is cause for the suspension or revocation of a license, Complainant is a party to this case and will
be a party to the hearing.
Respondent and Complainant, as the parties to the hearing, will present evidence and
argument to the administrative law judge.
The Registrar’s assigned investigator will appear as a witness at the hearing. RIGHT TO BE REPRESENTED The parties to the administrative hearing may choose to be represented by an attorney.
A.R.S. § 41-1092.07(B). If one of the parties is a company, the company may be represented
by an officer or employee if that person satisfies the conditions set forth in A.R.S. § 32-
1156(B).
CHANGE OF ADDRESS Each party must inform the Registrar and the Office of Administrative Hearings of any change of address within five (5) days of the change. A.R.S. § 41-1092.04.

REGISTRAR’S APPEARANCE BY VIDEO CONFERENCE OR TELEPHONE
The Registrar’s investigators, employees, and attorneys will appear at the hearing via video conference or telephone unless requested by a party to appear in-person. Requests for the Registrar’s investigators, employees, or attorneys to appear in-person must be filed with the Registrar and the Office of Administrative Hearings no later than seven (7) calendar days prior to the hearing date.
HEARING PACKET
In the interests of administrative efficiency, the Registrar compiles and discloses
certain documents to the parties and the Office of Administrative Hearings. These documents are attached to this Notice of Hearing as the “Hearing Packet.” If any party wishes to submit additional evidence, they must do so during the hearing after completing a disclosure statement. See “Disclosure Statement” section below.
SUBPOENAS FOR TESTIMONY FROM A WITNESS OR DOCUMENTS
The parties to the hearing must be prepared to present evidence in support of their
case. If a party wants to obtain testimony from a witness or documents not in the party’s
possession, the party must prepare and file a written subpoena for the Administrative Law Judge to review and sign, if approved. A.R.S. § 41-1092.07(C). Forms for requesting a
subpoena can be found on the Office of Administrative Hearings’ website at www.azoah.com. The party seeking a subpoena must serve notice on all the parties to the hearing, and on the Registrar. A.R.S. § 41-1092.04.
DISCLOSURE STATEMENT
At least seven calendar days before the hearing, each party must prepare and serve a disclosure statement on all other parties, and file it with the Office of Administrative Hearings. A.A.C. R4-9-118; A.A.C. R2-19-108. The disclosure statement must include any exhibit the party will use at the hearing. A party’s failure to timely disclose any witness or exhibit, without good cause, may result in the administrative law judge excluding those witnesses or exhibits from being used at the hearing. CHANGING THE HEARING DATE
The date of the hearing may only be advanced or delayed on the agreement of the
parties or on a showing of good cause. A.R.S. § 41-1092.05(C). The date of the hearing may
be changed by filing a written agreement of the parties to change the date of the hearing. The written agreement must be filed with the Office of Administrative Hearings, directed to the assigned Administrative Law Judge, and transmitted to the Registrar and all other parties. The assigned Administrative Law Judge may be found on the Office of Administrative Hearings’ web portal at www.azoah.com
If a party would like to move the date of the hearing without agreement of all parties, the party must file a written motion with the Office of Administrative Hearings, directed to the assigned Administrative Law Judge, and transmit a copy to the Registrar and all other parties. The motion must state in detail good cause for why the date of the hearing should be advanced or delayed, and the position of all other parties regarding the advancement or delay. A party may also file a motion asserting a right to an expedited hearing upon a showing of
extraordinary circumstances or the possibility of irreparable harm. A.R.S. § 41-1092.05(E).
RESOLUTION SHORT OF ADJUDICATION In any case which is resolved or settled by the parties, or which is withdrawn by the Complainant without objection from Respondent after the Notice of Hearing is issued, the parties must notify the Office of Administrative Hearings of the resolution or settlement. Any such cases will be listed on the Registrar’s website and its records under the category: “Closed
Complaints – Resolved/Settled/Withdrawn.”

Dear Complainant and Respondent:
A formal complaint has been filed with the Arizona Registrar of Contractors.
A jobsite inspection is scheduled for Monday, March 25, 2024 at 10:00 AM. The Complainant is required to be present. The Respondent’s attendance is requested and encouraged. The Registrar encourages both parties to make a good faith effort to resolve this complaint prior to the jobsite inspection.
COMPLAINANT: 1. Under A.R.S. § 32-1155(D)(1), the Respondent must be allowed, upon request, the opportunity to inspect the work complained of within fifteen (15) days of receiving this notice. If Respondent is not provided an opportunity to inspect the work within the fifteen (15) day time period, the Registrar may be prohibited from taking further action on this complaint. 2. The Registrar may also be precluded from taking further action on this complaint, if the work that is the subject of the complaint is subject to neglect, modification, or abnormal use. A.R.S. § 32-1155(D)(2) 3. You must provide safe access to any area to be inspected. If access to a roof or other elevated area is required, you must provide a means to safely access the area (ladder or manlift as appropriate). Additionally, please secure any animals.
RESPONDENT: 1. Enclosed is a copy of the complaint. Under A.R.S. § 32-1155(D) you must be allowed, upon request, the opportunity to inspect the work complained of within fifteen days of the date of receipt of this notice. 2. To assist the assigned investigator in evaluating the merits of the complaint, please submit a response to the enclosed complaint to the assigned investigator prior to the scheduled inspection. 3. If you do not attend the jobsite inspection, your absence may negatively impact the investigation, and your interests. 4. If a building permit(s) was required for this project, please have the building permit information available at the jobsite inspection. If either party needs to reschedule the jobsite inspection, please notify the assigned investigator at least three business days prior to the inspection date to schedule a new date and time.

Purpose of the Jobsite Inspection When the Registrar receives a complaint against a contractor’s license alleging poor workmanship, the Registrar generally schedules a Jobsite Inspection. The Jobsite Inspection serves two purposes: 1. To give the contractor an opportunity to inspect the complaint items; and 2. To give the Registrar an opportunity to determine if the contractor’s work violates Arizona law.
Jobsite Inspection Rights and Responsibilities Access to inspect: The property owner has complete control over who they allow on the property. However, if the Registrar’s investigator or the contractor cannot inspect the work, the Registrar will not move forward with a citation.
Cooperation: Arizona law enables injured parties to seek relief for damages through several paths. When dealing with a licensed contractor, the Registrar of Contractors’ administrative complaint process may serve as one of those possible paths. However, in order to use that path, the Registrar relies on the cooperation of all parties to a complaint.
Minimum workmanship: The Registrar investigates workmanship complaints for compliance with minimum workmanship and professional industry standards. The Registrar does not issue citations for work that meets these standards.
Scope: The scope of the Jobsite Inspection is limited to items listed in the complaint filed with the Registrar’s office. It is the complainant’s responsibility to point out the complaint item(s) and the Investigators role to review the item(s). If the complainant identifies additional workmanship items not listed in the original complaint, they must file an addendum to the complaint. The Registrar’s Investigator may identify additional administrative violations by the contractor (e.g. work performed out of scope of the license and failure to provide a contract that meets requirements set by Arizona law) at the time of the inspection.
The Role of the Investigator At the Jobsite Inspection, the Registrar’s investigator will: ● Only investigate the items listed on the complaint form filed with the Registrar. ● Will gather evidence to make an informed decision about the complaint items.

Generally, the investigator does not make any determination at the time of the jobsite inspection regarding whether the allegations listed in the complaint are supported. ● If the allegations are confirmed, the Registrar’s Investigator may issue a Written Directive telling the contractor to correct the poor or incomplete work. ● If the allegations are not confirmed, the Registrar’s Investigator will close the complaint.

Written Directives Access: In order to use the administrative process offered by the Registrar, a property owner must provide reasonable access to allow the contractor to fix their work as directed by the Registrar in a Written Directive. Complainants may not put any additional, unnecessary restrictions on the Respondent above and beyond the initial contract requirements agreed upon at the beginning of the project. Respondents are required to make repairs on items identified on any Written Directive, not otherwise restricted by local code or HOA limitations. Complainants must make access available to the Respondent to make the required repairs and failure to provide reasonable access may result in the Registrar dismissing the complaint.
Contractor obligations: The Written Directive will set a deadline for compliance. This is the period of time determined by the Investigator as necessary to complete the items listed in the Directive. ● The deadline for compliance assumes the contractor will promptly begin working on the items listed in the Directive. ● Do not wait. Both parties should communicate quickly to schedule the work.
Extensions: If good cause exists to extend this deadline, either party may submit a written request to the Investigator. The Registrar will review requests for extension and determine if the Directive should be extended.
Manner and method of performance: The Registrar does not provide specific instructions for how to correct poor work. A licensed contractor is expected to have the skill and 1700 W. Moreover, the complainant may not dictate the manner of repair. If the contractor fails to appropriately correct the work according to the contract, the Registrar will issue a citation.
Compliance Inspection: After the Written Directive expires, the Registrar’s Investigator will contact the complainant to determine if the contractor performed any corrective work. ● If the contractor did corrective work, the Investigator may schedule a Compliance Inspection to determine if the poor work is corrected. ● If the contractor did not perform any corrective work, the Registrar’s Investigator will not do a Compliance Inspection and will determine whether to issue a citation based on the administrative record.
Work performed after the directive ends: After the Directive period ends, a property owner may choose to allow the contractor to continue its work. The Registrar encourages parties to work cooperatively, but cannot require a homeowner to continue to allow a contractor access to the property after the Directive period ends in order for the administrative process to continue. Denying access after the Directive ends is not grounds to close or dismiss a complaint.

Dismissal Letter Re: Complaint No. 2024-02551;
Dear Complainant:
The Registrar received and investigated your complaint. Although your complaint alleges both poor workmanship and a financial/contractual dispute with a licensed contractor, there is insufficient grounds for discipline under A.R.S. § 32-1154(A). Both parties understand there are outstanding punch list items that need to be completed. These items are normally addressed upon completion of the project and are not appropriate for a corrective order from the Registrar at this time. Based on the ongoing financial dispute between the parties and premature allegations of poor workmanship, the Registrar is declining to exercise its sole discretion under A.R.S. § 32-1155(A) to issue a citation in this matter. The complaint is hereby dismissed.

Jobsite General Notes: Both parties were present, including Scott Morgan from the Respondent. I discussed expectations versus minimum workmanship standards with the parties, including the fact that construction inherently by nature is not perfect.
Compliance Item: 1 - PAINT: Numerous paint touch up areas are "blue tapped" & has been shown to contractor. Investigator’s Observation: Verified. Several areas marked with blue tape were within standards. The following observed areas require correction: Spot in paint above slider in Arizona room. Paint touch up at laundry room door strike plate. Paint the wrong sheen under kitchen cabinet to the right of the range. Paint the wrong sheen in the kitchen pantry at light switch. Nail hole at the top left corner trim to the right of fireplace. Paint glob at left corner of the fireplace mantle. Paint drip/smear below the switches at front door. Poor texture/paint to the right of master bath tub. Missing paint inside master bath linen closet. Missing paint at repaired P-trap and stucco by exterior AC units.

Compliance Item: 2 - HVAC AHU 2 STAGE WIRING: 2 units not properly wired for 2 stage use and efficiency Investigator’s Observation: Verified. The two stage units are wired in single stage. The Complainant and Respondent agreed they needed correction. Contractor should correct by appropriate means. Governing Rule: Violation of any rule adopted by the Registrar; Namely A.A.C. R4-9-108(a): A contractor shall perform all work in a professional and workmanlike manner.
Compliance Item: 3 - HVAC AHU NOT SEALED: compressor piping into AHU not sealed. air leakage. Investigator’s Observation: Verified. I observed the air handlers in the AZ room closet and the attic. The piping and refrigerant lines were not sealed and had leaking cold air. Contractor should correct by appropriate means. Governing Rule: Violation of any rule adopted by the Registrar; Namely A.A.C. R4-9-108(a): A contractor shall perform all work in a professional and workmanlike manner.
Compliance Item: 4 - SEWER SMELL/SCREWS IN VENT STACK: bathroom sewer smell & drywall screws in vent stack Investigator’s Observation: Verified. I observed screws through the hall bathroom vent stack via a scope video provided by the Complainant. The sewer smell was not present during this inspection. Compliance Item: 5 - ROOF SHINGLE DEGRADATION: asphalt shingle granular degrading prematurely. Investigator’s Observation: Verified. I observed the shingles to the left of the front porch and on the left side of the valley. The shingles were cracked as if they had been folded. Both parties agreed the valley was replaced after the roof was complete and this damage was most likely from the replacement. Contractor should correct by appropriate means. Governing Rule: Violation of any rule adopted by the Registrar; Namely A.A.C. R4-9-108(a): A contractor shall perform all work in a professional and workmanlike manner.
ITEMS NOT REQUIRING CORRECTION:
Compliance Item: 4 - HVAC DUCT NOISE: duct work in bathroom & bedroom making crackling noise. Investigator’s Observation: Unverified. The Complainant was unable to duplicate this item during the inspection. Governing Rule: N/A

WRITTEN DIRECTIVE FROM THE REGISTRAR
Dear Respondent:
After investigation, the Registrar determined that you failed to meet the requirements of A.R.S. § 32-1154(A), and now issues this Directive requiring you to take appropriate corrective action. Failure to comply with this Directive constitutes a violation of A.R.S. § 32-1154(A)(22) and may result in the issuance of a citation, discipline of your license, and a civil penalty pursuant to A.R.S. § 32-1154(E) of up to $500.00. You must notify the Registrar’s assigned Investigator of your compliance with this Directive prior to 5:00 p.m. on Friday, May 17, 2024.
RESTRICTIONS You may not perform or hire other contractors to perform work that is outside the scope of your license. If your license is currently suspended for administrative reasons1, or is inactive, expired, or cancelled, you may not perform any corrective work nor contract in any manner, which includes hiring other contractors to perform work, until the suspension of your license(s) has been lifted or your license(s) has been reactivated.
DIRECTIVE REQUIREMENTS You are directed to remedy the following violations by the appropriate means:
Compliance Item: 1 - PAINT: Numerous paint touch up areas are "blue tapped" & has been shown to contractor. Investigator’s Observation: Verified. Several areas marked with blue tape were within standards. The following observed areas required paint correction: Spot in paint above slider in Arizona room. Paint touch up at laundry room door strike plate.
This means the license is suspended for lack of qualifying party, lack of bond, nonrenewal, Recovery Fund payout, or for any reason listed in A.R.S. § 32-1124(F).

Paint drip/smear below the switches at front door. Poor texture/paint to the right of master bath tub. Missing paint inside master bath linen closet. Missing paint at repaired P-trap and stucco by exterior AC units. Contractor should correct by appropriate means. Governing Rule: Violation of any rule adopted by the Registrar; Namely A.A.C. Compliance Item: 2 - HVAC AHU 2 STAGE WIRING: 2 units not properly wired for 2 stage use and efficiency Investigator’s Observation: Verified. The two stage units are wired in single stage. The Complainant and Respondent agreed they needed correction. Contractor should correct by appropriate means. Governing Rule: Violation of any rule adopted by the Registrar; Namely A.A.C. Compliance Item: 3 - HVAC AHU NOT SEALED: compressor piping into AHU not sealed. air leakage. Investigator’s Observation: Verified. I observed the air handlers in the AZ room closet and the attic. The piping and refrigerant lines were not sealed and had leaking cold air. Contractor should correct by appropriate means. Governing Rule: Violation of any rule adopted by the Registrar;

Compliance Item: 4 - SEWER SMELL/SCREWS IN VENT STACK: bathroom sewer smell & drywall screws in vent stack Investigator’s Observation: Verified. I observed screws through the hall bathroom vent stack via a scope video provided by the Complainant. The sewer smell was not present during this inspection. Contractor should correct the vent stack by appropriate means. Governing Rule: Violation of any rule adopted by the Registrar; Namely A.A.C. R4-9-108(a): A contractor shall perform all work in a professional and workmanlike manner.
Compliance Item: 5 - ROOF SHINGLE DEGRADATION: asphalt shingle granular degrading prematurely. Investigator’s Observation: Verified. I observed the shingles to the left of the front porch and on the left side of the valley. The shingles were cracked as if they had been folded. Both parties agreed the valley was replaced after the roof was complete and this damage was most likely from the replacement. Contractor should correct by appropriate means. The Registrar issues this Citation to The Morgan Group Properties LLC DBA: The Morgan Group Properties (“Respondent”) under A.R.S. § 32-1155(A). The written directive shall set forth the time within which the contractor is to complete the remedial action. The time permitted for compliance shall not be less than fifteen days from the date of issuance of the directive. A license shall not be revoked or suspended nor shall any other penalty be imposed for a violation of this paragraph until after a hearing has been held. If the matter proceeds to a hearing and the administrative law judge determines that any of the charges listed above are supported by a preponderance of the evidence, then Respondent’s license(s) may be subject to suspension or revocation, and Respondent may be subject to other penalties provided by law, including civil penalties under A.R.S. §§ 32-1154(E) and (F). FILING A WRITTEN ANSWER Respondent must appear by filing with the Registrar a written answer to the citation and complaint showing cause, if any, why Respondent’s license(s) should not be suspended or revoked. Service of the Citation and Complaint is complete five days after the Registrar mails a copy of the Citation and Complaint to Respondent’s latest address of record in the Registrar’s office. Consequences for Failing to File a Written Answer: If Respondent fails to answer, Respondent’s failure may be deemed an admission of the act or acts charged in the written complaint. Dear Daniel:
As you know, this firm represents Michael and Karen Zamora (the “Zamoras”) regarding the October 7, 2022 Construction Agreement between the Zamoras and your client, The Morgan Group (the “Agreement”). This letter serves as a Reply to your email received February 5, 2024 responding to the Zamoras’ demand letter (“Response”).
Under the terms of the Agreement, your client was hired to perform approximately $378,246.43 worth of remodeling in the Zamoras’ home located at 2020 S. El Camino Drive, Tempe, Arizona 85282 (the “Project”). The Project was to be completed by June 4, Miranda Law PC c/o Daniel L. Miranda February 15, 2024 Page 2
2023. (See Agreement at ¶ 19, enclosed as Exhibit 1.) This Reply to your Response will address the workmanship issues first, followed by monetary disputes.
Below, please see my clients’ replies to each numbered issue in your February 5, 2024 Response.
(1) Complete lien releases from The Morgan Group, as well as any and all Subcontractors and Trades that performed work on the Project provided on an AIA Document G904; i. It is standard industry practice to provide lien releases from any and all contractors that performed work on the project after they have been paid. If every contractor except the electrician has been paid, your client should be able to produce lien releases for all other contractors now, as well as for the electrician when final payment is made. This is what Mr. Zamora and Mr. Morgan had previously discussed; ii. As an alternative, the Zamoras are willing to accept a lien release from your client, a lien release from all trades that have previously filed a lien or 20-day notice, in addition to proof of payment to all other trades (e.g. invoices and matching canceled checks) showing that all subcontractors have been paid in full;
(2) Installation of all additional dimmers. The Zamoras agree that this installation is to be provided at an additional expense; it must be provided at a reasonable per unit price based upon the price of installation of previous dimmers on the Project; i. The demand letter explicitly acknowledged that this was going to be an additional expense to the Zamoras. My clients are requesting that your client install the additional dimmers at the same price paid for the previous dimmers, as well as five additional dimmers to have as spares, which would also be at their cost. Is your client refusing to do this work altogether? If so and the Zamoras have dimmers installed by an electrician, my clients would like verification that the state mandated One Year warranty, including the electrical work warranty by your client, will still be applicable and not voided. (3) Confirmation that any and all warranties are still in effect per the guidelines of the Arizona Registrar of Contractors and all warranty documentation will be provided to the Zamoras. See Agreement at §15; i. Considering the project is not complete yet, my clients would like to know why The Morgan Group is taking the position that the warranty timeline began December 12, 2023. Additionally, my clients would like clarification as to when warranty items can will be acknowledged and addressed for both emergency and non-emergency items;
(4) Provide the warranty card and instruction manual for: a. The single stage AC unit; b. The water heater; c. The water softener; d. Any and all thermostats; i. My understanding is that your client will provide all requested information for this item. I look forward to receiving them as my clients also need these to provide to the Federal Government and SRP in order to obtain proper rebates and refunds for these items;
(5) Fix the problems related to toilet smell and drainage; and i. My clients have had a plumber scope the piping system and record a video. The video shows multiple screws in a vent stack which will need to be removed and the vent stack replaced. Additionally, the wall will need to be repaired in order to fully address the issue of the smell. My clients are happy to provide you with the video via a share- drive at your request;
(6) Complete any and all punch list items; a. My clients’ punch list is as follows: i. Numerous areas in which paint needs to be touched up which were shown to Mr. Morgan and were blue taped. Other areas have since been found, including condensation piping; ii. The mechanical AHU units have not been fully sealed and external air gets into them. Additionally, the wall piping trim has not been installed where the pipes penetrate the wall; Miranda Law PC c/o Daniel L. Miranda February 15, 2024 Page 4
iii. Roof shingles have degraded prematurely. Those shingles will have to be replaced without damaging other roof shingles around them; iv. Two of the three HVAC units are two stage units, which enable a higher efficiency for heating and cooling. One of those units has been modified and the other has not been. The mechanical contractor said that the second unit does not have the proper wiring. Both HVAC units need to be properly modified to operate according to manufacturer specifications; v. The ductwork in the twin bathroom and in the spare bedroom is not properly sealed, and is making a cracking noise; vi. The Zamoras would like two additional boxes of the “white tile” which will be at their expense to be used for future replacement use; vii. The Zamoras would like five additional interior light fixtures and five additional exterior light fixture which will be at their expense to be used for future replacement use; viii. Ensuring that the one year warranty is still in effect in case any other items come up in the timeframe.
Regarding your dispute over the language of the Agreement and monies owed, please note that the Agreement does not base monies owed off of substantial completion, but says that “payment schedule will be due based upon completion of each trade and approved by client.” (See Exhibit 1, at ¶ 22 (emphasis added).) Furthermore, regarding your allegations of changes made to the Project even though there were no formal change orders signed, please note that the Agreement explicitly says that “such changes or modifications shall only be made in a written ‘Change Order’ which is signed and dated by all Parties.” (Id., at ¶ 16) Your Response explicitly admits that no formal change orders were signed. Lastly, please note that the only portion of the Agreement that mentions substantial completion is when it comes to curing a default after notification. (Id., at ¶ 50.) We issued the Notice of Breach to your client on January 9, 2024, and as of today, your client has not begun to cure the default, let alone work towards substantial completion of the abovementioned defaults. Please note that as of February 8, 2024, your client is now in violation of ¶ 50 of the Agreement for failing to begin to cure the abovementioned defaults. Miranda Law PC c/o Daniel L. Even though The Morgan Group is in violation of ¶ 50 of the Agreement, my clients are willing to provide The Morgan Group with the opportunity to cure the defaults as set forth in this Reply under the condition that The Morgan Group respond promptly and begin to cure the defective work promptly. As your Response suggested, the Zamoras are happy to fix the dispute over how much money is owed after all of the work is complete per the terms of the Agreement, however, please note, The Morgan Group’s failure to complete the Project is continuing to result in a $100 per day “penalty to be reduced against [the Zamoras’] final bill.” (Id., at ¶ 22.)
Based upon the foregoing, the Zamoras are demanding that, within ten days of the date of this letter, you confirm that The Morgan Group intends to and begins to cure the defective items and complete the Project. Should The Morgan Group fail to do so, the Zamoras will be terminating the Contract. (Id., at ¶ 51.) The Zamoras will then hold The Morgan Group accountable for any additional amounts they pay another contractor to correct the work, as well as all costs and attorney’s fees required in recovering said monies. See A.R.S. §§ 12-341; 12-341.01.

Dear Mr. Morgan:
This firm has been retained by Michael and Karen Zamora (the “Zamoras”) regarding your/The Morgan Group Properties’ (“You” or “Morgan Group”) breach of the October 7, 2022 Construction Agreement between the Zamoras and the Morgan Group (the “Agreement”).
Pursuant to the terms of the Agreement, You were to perform approximately $378,246.43 worth of remodeling in the Zamoras’ home located at 2020 S. El Camino Drive, Tempe, Arizona 85282 (the “Project”). Under the terms of the Agreement, the Project was to be completed by June 4, 2023. (See Agreement at ¶ 19, enclosed as Exhibit 1.) Payment was to be made “upon completion of each trade and approved by [the Zamoras.]” Id. at ¶ 22. Your failure to complete the Project by June 4, 2023 results in a $100 per day “penalty to be reduced against [the Zamoras’] final bill.” Id.
To date, You assert that You are still owed $23,519.31, pursuant to three unpaid invoices. (See Invoices 5340, 5341 and 5349, enclosed as Exhibit 2.) In your email dated December 28, 2023, You demanded that You are paid before You complete the final punch list items. Your Morgan Group Properties January 9, 2024 Page 2
demand breaches the basic terms of the Agreement. (See Exhibit 1 at ¶ 22.) Per the terms of the Agreement, you are not owed that money until the Project is complete. Id.
The below items are required in order to complete the Project:
(1) Complete lien releases from You, as well as any and all Subcontractors and Trades that performed work on the Project provided on an AIA Document G904; (2) Installation of all additional dimmers. The Zamoras agree that this installation is to be provided at an additional expense; it must be provided at a reasonable per unit price based upon the price of installation of previous dimmers on the Project; (3) Confirmation that any and all warranties are still in effect per the guidelines of the Arizona Registrar of Contractors and all warranty documentation will be provided to the Zamoras. See Agreement at §15; (4) Provide the warranty card and instruction manual for: a. The single stage AC unit; b. The water heater; c. The water softener; d. Any and all thermostats; (5) Fix the problems related to toilet smell and drainage; and (6) Complete any and all punch list items.
As of today, the Project is 217 days behind schedule. Per paragraph 22 of the Agreement, the Zamoras are entitled to a reduction of their final bill in the amount of $21,700 and counting. Notwithstanding, in an attempt to move this Project along, and if you agree to complete the Project based upon the above-mentioned terms, the Zamoras are willing to limit the delay credit towards their final bill to $18,000. This is calculated via ten days in which the penalty was paused, as well as ending the penalty days on the day in which the Zamoras moved into their home – even though the Project is not yet completed. This would result in payment of $5,519.31 ($23,519.31 - $18,000) upon completion of the Project.
Based upon the foregoing, the Zamoras are demanding that, within ten days of the date of this letter, You confirm that the Project can be completed by February 7, 2024; provide a schedule establishing completion of the same, and complete the above listed items per that schedule. (See Exhibit 1 at ¶ 49-50.) Should you fail to do so, the Zamoras will be terminating the Contract. Id. at ¶ 51.
On behalf of the Zamoras, I am hereby putting You on notice of the foregoing breaches and advising that if the breaches are not cured, the Agreement will be terminated. The Zamoras will then hold you accountable for any additional amounts they pay another contractor to correct Morgan Group Properties January 9, 2024 Page 3
the work, as well as all attorney’s fees required in recovering said monies. Id. at § 8; A.R.S. § 12- 341.01.

This Letter is sent in response to your December 28, 2023 email (“Email”) regarding the outstanding punch list items on my house located at 2020 S. El Camino Dr., Tempe, AZ 85282. In your Email, you mention that you will not complete the punch list items until I agree to “Settle” and pay you half of the total remaining balance, which I have calculated to be $11,759.66. Your Email goes on to request that I pay you before you complete the punch list items. The requests in your email go against the basic terms of our Contract.
The terms of the Contract specify that payment is not due until completion of each trade and approval by me. Due to the fact that you have not completed the punch list items yet, and there appears to be an issue with the toilets venting, you are not yet entitled to final payment. The Contract also specifies that you owe a $100 per day penalty for failure to complete the Remodel by June 4, 2023, to be reduced against my final bill. To date, you are more than six months behind and the Remodel is still not complete. This has resulted in more than a $18,000 credit towards my final bill.
In an attempt to move this Remodel along to completion, I am willing to place $11,759.66 into escrow while you complete the final punch list items. While that money remains in escrow, I would request the following:
(1) A final list of any and all outstanding invoices to bring the Remodel to completion; (2) Complete lien releases from you and all subcontractors that performed work on the Remodel; (3) Completion of all punch list items including, but not limited to; paint touch up, installing dimmers and rectifying the toilet issue; and (4) Confirmation that any and all warranties are still in effect.
After the Remodel is complete, I am happy to pay my final invoices per the terms we agreed upon. I look forward to hearing from you,

Dear Daniel:
As you know, this firm represents Michael and Karen Zamora (the “Zamoras”) regarding the October 7, 2022 Construction Agreement between the Zamoras and your client, The Morgan Group (the “Agreement”). This letter serves as a Reply to your email received February 5, 2024 responding to the Zamoras’ demand letter (“Response”).
Under the terms of the Agreement, your client was hired to perform approximately $378,246.43 worth of remodeling in the Zamoras’ home located at 2020 S. El Camino Drive, Tempe, Arizona 85282 (the “Project”). The Project was to be completed by June 4, Miranda Law PC c/o Daniel L. Miranda February 15, 2024 Page 2
2023. (See Agreement at ¶ 19, enclosed as Exhibit 1.) This Reply to your Response will address the workmanship issues first, followed by monetary disputes.
Below, please see my clients’ replies to each numbered issue in your February 5, 2024 Response.
(1) Complete lien releases from The Morgan Group, as well as any and all Subcontractors and Trades that performed work on the Project provided on an AIA Document G904; i. It is standard industry practice to provide lien releases from any and all contractors that performed work on the project after they have been paid. If every contractor except the electrician has been paid, your client should be able to produce lien releases for all other contractors now, as well as for the electrician when final payment is made. This is what Mr. Zamora and Mr. Morgan had previously discussed; ii. As an alternative, the Zamoras are willing to accept a lien release from your client, a lien release from all trades that have previously filed a lien or 20-day notice, in addition to proof of payment to all other trades (e.g. invoices and matching canceled checks) showing that all subcontractors have been paid in full;
(2) Installation of all additional dimmers. The Zamoras agree that this installation is to be provided at an additional expense; it must be provided at a reasonable per unit price based upon the price of installation of previous dimmers on the Project; i. The demand letter explicitly acknowledged that this was going to be an additional expense to the Zamoras. My clients are requesting that your client install the additional dimmers at the same price paid for the previous dimmers, as well as five additional dimmers to have as spares, which would also be at their cost. Is your client refusing to do this work altogether? If so and the Zamoras have dimmers installed by an electrician, my clients would like verification that the state mandated One Year warranty, including the electrical work warranty by your client, will still be applicable and not voided. (3) Confirmation that any and all warranties are still in effect per the guidelines of the Arizona Registrar of Contractors and all warranty documentation will be provided to the Zamoras. See Agreement at §15; i. Considering the project is not complete yet, my clients would like to know why The Morgan Group is taking the position that the warranty timeline began December 12, 2023. Additionally, my clients would like clarification as to when warranty items can will be acknowledged and addressed for both emergency and non-emergency items;
(4) Provide the warranty card and instruction manual for: a. The single stage AC unit; b. The water heater; c. The water softener; d. Any and all thermostats; i. My understanding is that your client will provide all requested information for this item. I look forward to receiving them as my clients also need these to provide to the Federal Government and SRP in order to obtain proper rebates and refunds for these items;
(5) Fix the problems related to toilet smell and drainage; and i. My clients have had a plumber scope the piping system and record a video. The video shows multiple screws in a vent stack which will need to be removed and the vent stack replaced. Additionally, the wall will need to be repaired in order to fully address the issue of the smell. My clients are happy to provide you with the video via a share- drive at your request;
(6) Complete any and all punch list items; a. My clients’ punch list is as follows: i. Numerous areas in which paint needs to be touched up which were shown to Mr. Morgan and were blue taped. Other areas have since been found, including condensation piping; ii. The mechanical AHU units have not been fully sealed and external air gets into them. Additionally, the wall piping trim has not been installed where the pipes penetrate the wall; Miranda Law PC c/o Daniel L. Miranda February 15, 2024 Page 4
iii. Roof shingles have degraded prematurely. Those shingles will have to be replaced without damaging other roof shingles around them; iv. Two of the three HVAC units are two stage units, which enable a higher efficiency for heating and cooling. One of those units has been modified and the other has not been. The mechanical contractor said that the second unit does not have the proper wiring. Both HVAC units need to be properly modified to operate according to manufacturer specifications; v. The ductwork in the twin bathroom and in the spare bedroom is not properly sealed, and is making a cracking noise; vi. The Zamoras would like two additional boxes of the “white tile” which will be at their expense to be used for future replacement use; vii. The Zamoras would like five additional interior light fixtures and five additional exterior light fixture which will be at their expense to be used for future replacement use; viii. Ensuring that the one year warranty is still in effect in case any other items come up in the timeframe.
Regarding your dispute over the language of the Agreement and monies owed, please note that the Agreement does not base monies owed off of substantial completion, but says that “payment schedule will be due based upon completion of each trade and approved by client.” (See Exhibit 1, at ¶ 22 (emphasis added).) Furthermore, regarding your allegations of changes made to the Project even though there were no formal change orders signed, please note that the Agreement explicitly says that “such changes or modifications shall only be made in a written ‘Change Order’ which is signed and dated by all Parties.” (Id., at ¶ 16) Your Response explicitly admits that no formal change orders were signed. Lastly, please note that the only portion of the Agreement that mentions substantial completion is when it comes to curing a default after notification. (Id., at ¶ 50.) We issued the Notice of Breach to your client on January 9, 2024, and as of today, your client has not begun to cure the default, let alone work towards substantial completion of the abovementioned defaults. Please note that as of February 8, 2024, your client is now in violation of ¶ 50 of the Agreement for failing to begin to cure the abovementioned defaults. Miranda Law PC c/o Daniel L. Even though The Morgan Group is in violation of ¶ 50 of the Agreement, my clients are willing to provide The Morgan Group with the opportunity to cure the defaults as set forth in this Reply under the condition that The Morgan Group respond promptly and begin to cure the defective work promptly. As your Response suggested, the Zamoras are happy to fix the dispute over how much money is owed after all of the work is complete per the terms of the Agreement, however, please note, The Morgan Group’s failure to complete the Project is continuing to result in a $100 per day “penalty to be reduced against [the Zamoras’] final bill.” (Id., at ¶ 22.)
Based upon the foregoing, the Zamoras are demanding that, within ten days of the date of this letter, you confirm that The Morgan Group intends to and begins to cure the defective items and complete the Project. Should The Morgan Group fail to do so, the Zamoras will be terminating the Contract. (Id., at ¶ 51.) The Zamoras will then hold The Morgan Group accountable for any additional amounts they pay another contractor to correct the work, as well as all costs and attorney’s fees required in recovering said monies. See A.R.S. §§ 12-341; 12-341.01.

I have been unable to get any of the trades back due to customer non payment and refusal to budge.
I'd like to discuss matters with you or your supervisor.
This customer has caused me major financial harm and nobody feels comfortable on his work site.
All of these items are very minor. I have tried to contact other subcontractors but cannot get them to agree to touch another contractors work.

A formal complaint has been filed with the Arizona Registrar of Contractors.
A jobsite inspection is scheduled for Monday, March 25, 2024 at 10:00 AM. The Complainant is required to be present. The Respondent’s attendance is requested and encouraged. The Registrar encourages both parties to make a good faith effort to resolve this complaint prior to the jobsite inspection.
COMPLAINANT: 1. Under A.R.S. § 32-1155(D)(1), the Respondent must be allowed, upon request, the opportunity to inspect the work complained of within fifteen (15) days of receiving this notice. If Respondent is not provided an opportunity to inspect the work within the fifteen (15) day time period, the Registrar may be prohibited from taking further action on this complaint. 2. The Registrar may also be precluded from taking further action on this complaint, if the work that is the subject of the complaint is subject to neglect, modification, or abnormal use. A.R.S. § 32-1155(D)(2) 3. You must provide safe access to any area to be inspected. If access to a roof or other elevated area is required, you must provide a means to safely access the area (ladder or manlift as appropriate). Additionally, please secure any animals.
RESPONDENT: 1. Enclosed is a copy of the complaint. Under A.R.S. § 32-1155(D) you must be allowed, upon request, the opportunity to inspect the work complained of within fifteen days of the date of receipt of this notice. 2. Purpose of the Jobsite Inspection When the Registrar receives a complaint against a contractor’s license alleging poor workmanship, the Registrar generally schedules a Jobsite Inspection. The Jobsite Inspection serves two purposes: 1. To give the contractor an opportunity to inspect the complaint items; and 2. To give the Registrar an opportunity to determine if the contractor’s work violates Arizona law.
Jobsite Inspection Rights and Responsibilities Access to inspect: The property owner has complete control over who they allow on the property. However, if the Registrar’s investigator or the contractor cannot inspect the work, the Registrar will not move forward with a citation.
Cooperation: Arizona law enables injured parties to seek relief for damages through several paths. When dealing with a licensed contractor, the Registrar of Contractors’ administrative complaint process may serve as one of those possible paths. However, in order to use that path, the Registrar relies on the cooperation of all parties to a complaint.
Minimum workmanship: The Registrar investigates workmanship complaints for compliance with minimum workmanship and professional industry standards. The Registrar does not issue citations for work that meets these standards.
Scope: The scope of the Jobsite Inspection is limited to items listed in the complaint filed with the Registrar’s office. It is the complainant’s responsibility to point out the complaint item(s) and the Investigators role to review the item(s). If the complainant identifies additional workmanship items not listed in the original complaint, they must file an addendum to the complaint. The Registrar’s Investigator may identify additional administrative violations by the contractor (e.g. work performed out of scope of the license and failure to provide a contract that meets requirements set by Arizona law) at the time of the inspection.
The Role of the Investigator At the Jobsite Inspection, the Registrar’s investigator will: ● Only investigate the items listed on the complaint form filed with the Registrar. ● Will gather evidence to make an informed decision about the complaint items.

Respondents are required to make repairs on items identified on any Written Directive, not otherwise restricted by local code or HOA limitations. Complainants must make access available to the Respondent to make the required repairs and failure to provide reasonable access may result in the Registrar dismissing the complaint.
Contractor obligations: The Written Directive will set a deadline for compliance. This is the period of time determined by the Investigator as necessary to complete the items listed in the Directive. ● The deadline for compliance assumes the contractor will promptly begin working on the items listed in the Directive. ● Do not wait. Both parties should communicate quickly to schedule the work.
Extensions: If good cause exists to extend this deadline, either party may submit a written request to the Investigator. The Registrar will review requests for extension and determine if the Directive should be extended.
Manner and method of performance: The Registrar does not provide specific instructions for how to correct poor work. A licensed contractor is expected to have the skill and 1700 W. Moreover, the complainant may not dictate the manner of repair. If the contractor fails to appropriately correct the work according to the contract, the Registrar will issue a citation.
Compliance Inspection: After the Written Directive expires, the Registrar’s Investigator will contact the complainant to determine if the contractor performed any corrective work. ● If the contractor did corrective work, the Investigator may schedule a Compliance Inspection to determine if the poor work is corrected. ● If the contractor did not perform any corrective work, the Registrar’s Investigator will not do a Compliance Inspection and will determine whether to issue a citation based on the administrative record.
Work performed after the directive ends: After the Directive period ends, a property owner may choose to allow the contractor to continue its work. The Registrar encourages parties to work cooperatively, but cannot require a homeowner to continue to allow a contractor access to the property after the Directive period ends in order for the administrative process to continue. Denying access after the Directive ends is not grounds to close or dismiss a complaint.

Dismissal Letter Re: Complaint No. 2024-02551;
Dear Complainant:
The Registrar received and investigated your complaint. Although your complaint alleges both poor workmanship and a financial/contractual dispute with a licensed contractor, there is insufficient grounds for discipline under A.R.S. § 32-1154(A). Both parties understand there are outstanding punch list items that need to be completed. These items are normally addressed upon completion of the project and are not appropriate for a corrective order from the Registrar at this time. Based on the ongoing financial dispute between the parties and premature allegations of poor workmanship, the Registrar is declining to exercise its sole discretion under A.R.S. § 32-1155(A) to issue a citation in this matter. The complaint is hereby dismissed.

WRITTEN DIRECTIVE FROM THE REGISTRAR
Dear Respondent:
After investigation, the Registrar determined that you failed to meet the requirements of A.R.S. § 32-1154(A), and now issues this Directive requiring you to take appropriate corrective action. Failure to comply with this Directive constitutes a violation of A.R.S. § 32-1154(A)(22) and may result in the issuance of a citation, discipline of your license, and a civil penalty pursuant to A.R.S. § 32-1154(E) of up to $500.00. You must notify the Registrar’s assigned Investigator of your compliance with this Directive prior to 5:00 p.m. on Friday, May 17, 2024.
RESTRICTIONS You may not perform or hire other contractors to perform work that is outside the scope of your license. If your license is currently suspended for administrative reasons1, or is inactive, expired, or cancelled, you may not perform any corrective work nor contract in any manner, which includes hiring other contractors to perform work, until the suspension of your license(s) has been lifted or your license(s) has been reactivated.
DIRECTIVE REQUIREMENTS You are directed to remedy the following violations by the appropriate means:
Compliance Item: 1 - PAINT: Numerous paint touch up areas are "blue tapped" & has been shown to contractor. Investigator’s Observation: Verified. Several areas marked with blue tape were within standards. The following observed areas required paint correction: Spot in paint above slider in Arizona room. Paint touch up at laundry room door strike plate.
This means the license is suspended for lack of qualifying party, lack of bond, nonrenewal, Recovery Fund payout, or for any reason listed in A.R.S. § 32-1124(F).

Paint drip/smear below the switches at front door. Poor texture/paint to the right of master bath tub. Missing paint inside master bath linen closet. Compliance Item: 2 - HVAC AHU 2 STAGE WIRING: 2 units not properly wired for 2 stage use and efficiency Investigator’s Observation: Verified. The two stage units are wired in single stage. The Complainant and Respondent agreed they needed correction. Contractor should correct by appropriate means. Governing Rule: Violation of any rule adopted by the Registrar; Namely A.A.C. Compliance Item: 3 - HVAC AHU NOT SEALED: compressor piping into AHU not sealed. air leakage. Investigator’s Observation: Verified. I observed the air handlers in the AZ room closet and the attic. The piping and refrigerant lines were not sealed and had leaking cold air. Contractor should correct by appropriate means. Governing Rule: Violation of any rule adopted by the Registrar;

Compliance Item: 4 - SEWER SMELL/SCREWS IN VENT STACK: bathroom sewer smell & drywall screws in vent stack Investigator’s Observation: Verified. I observed screws through the hall bathroom vent stack via a scope video provided by the Complainant. The sewer smell was not present during this inspection. Contractor should correct the vent stack by appropriate means. Governing Rule: Violation of any rule adopted by the Registrar; Namely A.A.C. R4-9-108(a): A contractor shall perform all work in a professional and workmanlike manner.
Compliance Item: 5 - ROOF SHINGLE DEGRADATION: asphalt shingle granular degrading prematurely. Investigator’s Observation: Verified. I observed the shingles to the left of the front porch and on the left side of the valley. The shingles were cracked as if they had been folded. Both parties agreed the valley was replaced after the roof was complete and this damage was most likely from the replacement. Contractor should correct by appropriate means. Governing Rule: Violation of any rule adopted by the Registrar; Namely A.A.C. R4-9-108(a): A contractor shall perform all work in a professional and workmanlike manner.

In regards to this citation/complaint there are many factors I would like to address. The biggest issues at hand are lack of response and payments in a timely manner by the Complainant. Invoices, 5341, 5340 and 5349 are all unpaid and completely ignored by the Complainant (see attached). When entering into an agreement payments are to be made on time or when there is a disagreement or something incorrect that party has 7 days to inform me of the issue.
The Complainant did not adhere to the contract nor raise concerns or disagreements in writing. This project was substantially complete December 10, 2023. Complainant moved in about that time period.
Throughout this project we worked diligently to complete on time with phenomenal quality. And while nothing is ever perfect our workmanship was top notch along with our sub trades. All the while the Complainant was onsite, stopping work, asking for changes/modifications and in our way. The entire project.
The Complainant had Flood Irrigation front and backyard numerous times per month creating delays and conditions we could not work in. We were able to find ways to make reasonable accommodations so work/trades could do all they could. Moving on to the Complaints in question I will respond to now.
Charges 1 and 5: We did complete this project in a professional and workmanlike manner, even when Complainant wasn't paying on time or paying at all. We did touch ups/punch list items constantly even when the Complainant changed the work or added to the project outside of our Agreement. On 3/28/2024 Doug Barrett had issued a Written Directive with this Complaint being DISMISSED. I was informed on approx 4/25/2024 that there was going to be a Written Directive. Once I received it I informed my Legal Counsel. With the fact the Complainant hadn't paid past due invoices and ignored me I was advised to reach out to his Counsel for a resolution to get us paid so we could get into the WARRANTY PHASE of this project and gladly handle any issues that were Valid. However, they decided to play hard ball and ignore the payment request again.
So I reached out to the Sub Trades to try and arrange these items to be addressed, but they hadn't been paid in full and therefore not able to come back to address and of these items. I diligently reached out to other trades to try to get them to come in and address and they refused due to Warranty Issues and this specific owner. With all of this being said I offered them to allow us to come address these items the week of June 17th or June 24th. That was the fastest I was able to get other trades that could address these issues to come out. They refused. At every turn this Complainant has ignored my requests or has made it nearly impossible to complete anything resembling a timely schedule due to his complete lack of respect for anyone other than himself. I am really unsure how to proceed with a customer like this. Again our workmanship and quality is nearly flawless. Not perfect, but better than standard. We have tried our best to accommodate, but he is making this more than difficult.

I do not feel my license should be suspended or revoked. I have tried to be nice, accommodating and respectful to this customer. All while being treated horrible, disrespected and not paid. I have offered to correct issues in a timely manner if allowed. This situation is complex and due to his lack of payment and responses made getting anything done within a couple of week an impossible task. I am willing and able to make these requests happen and have given them a schedule. Customers have to pay us timely!!!
