This Notice of Hearing is issued under A.R.S. § 41-1092.05(D). HEARING INFORMATION The hearing is set for: November 28, 2023 1:00 PM Sondra Vanella Google Meet. A link will be provided directly from The Office of Administrative Hearings. Go to www.azoah.com to request to appear in-person.
If you have requested to appear in-person at the hearing, the hearing will be held at 1740 W Adams Street, Phoenix, AZ 85007.
You must attend this hearing. This is an adversarial hearing before an administrative
law judge, and is conducted in a similar manner as judicial proceedings. Thus, you must be
prepared to present evidence, including witness testimony and documents, in support of your case.
STATEMENT OF LEGAL AUTHORITY AND JURISDICTION The State of Arizona has determined that the licensing and regulation of construction contractors is a proper state function, and has vested authority in the Registrar of Contractors to administer Title 32, Chapter 10 of the Arizona Revised Statutes. A.R.S. §§ 32-1101 et seq. All hearings for alleged violations of Title 32, Chapter 10 are conducted under Title 41,
Chapter 6, Article 10. A.R.S. § 32-1156.

PARTICULAR ARIZONA STATUTES AND RULES INVOLVED The statutes and rules the Respondent is alleged to have violated are cited in the
complaint and citation, which were served on the Respondent on October 3, 2023. SHORT AND PLAIN STATEMENT OF THE MATTERS ASSERTED The complaint and citation allege that the Respondent committed the following act(s): Charge: 1 A.R.S. § 32-1154(A)(10)
THE PARTIES TO THE ADMINISTRATIVE HEARING Because Respondent is a licensee and is charged with an act(s) or omission(s) that is cause for the suspension or revocation of a license, Respondent is a party to this case and will be a party to the hearing.
Because Complainant alleged Respondent committed an act(s) or omission(s) that is cause for the suspension or revocation of a license, Complainant is a party to this case and will be a party to the hearing. Respondent and Complainant, as the parties to the hearing, will present evidence and argument to the administrative law judge.
RIGHT TO BE REPRESENTED The parties to the administrative hearing may choose to be represented by an attorney.
A.R.S. § 41-1092.07(B). If one of the parties is a company, the company may be represented
by an officer or employee if that person satisfies the conditions set forth in A.R.S. § 32-
1156(B).
CHANGE OF ADDRESS Each party must inform the Registrar and the Office of Administrative Hearings of
any change of address within five (5) days of the change. A.R.S. § 41-1092.04. HEARING PROCEDURES AND RULES The administrative hearing will be conducted in accordance with A.R.S. §§ 41-1092 to -1092.12, and A.A.C. R2-19-101 to -122. The parties should review the statutes, rules, and processes governing the administrative hearing. REGISTRAR’S APPEARANCE BY VIDEO CONFERENCE OR TELEPHONE
The Registrar’s investigators, employees, and attorneys will appear at the hearing via
video conference or telephone unless requested by a party to appear in-person. Requests for
the Registrar’s investigators, employees, or attorneys to appear in-person must be filed with the Registrar and the Office of Administrative Hearings no later than seven (7) calendar days prior to the hearing date.
HEARING PACKET In the interests of administrative efficiency, the Registrar compiles and discloses certain documents to the parties and the Office of Administrative Hearings. These documents are attached to this Notice of Hearing as the “Hearing Packet.” If any party wishes to submit
additional evidence, they must do so during the hearing after completing a disclosure
statement. See “Disclosure Statement” section below.
SUBPOENAS FOR TESTIMONY FROM A WITNESS OR DOCUMENTS The parties to the hearing must be prepared to present evidence in support of their case. If a party wants to obtain testimony from a witness or documents not in the party’s possession, the party must prepare and file a written subpoena for the Administrative Law Judge to review and sign, if approved. A.R.S. § 41-1092.07(C). Forms for requesting a
subpoena can be found on the Office of Administrative Hearings’ website at www.azoah.com.
The party seeking a subpoena must serve notice on all the parties to the hearing, and on the
Registrar. A.R.S. § 41-1092.04.
DISCLOSURE STATEMENT At least seven calendar days before the hearing, each party must prepare and serve a
disclosure statement on all other parties, and file it with the Office of Administrative Hearings. A.A.C. R4-9-118; A.A.C. R2-19-108. The disclosure statement must include any exhibit the
party will use at the hearing. A party’s failure to timely disclose any witness or exhibit, without good cause, may result in the administrative law judge excluding those witnesses or exhibits from being used at the hearing. A.A.C. R4-9-118(C). A sample disclosure form is available on the Registrar’s website at https://roc.az.gov/content/prehearing-disclosure- statement.
CHANGING THE HEARING DATE The date of the hearing may only be advanced or delayed on the agreement of the parties or on a showing of good cause. A.R.S. § 41-1092.05(C). The date of the hearing may be changed by filing a written agreement of the parties to change the date of the hearing. The written agreement must be filed with the Office of Administrative Hearings, directed to the assigned Administrative Law Judge, and transmitted to the Registrar and all other parties. The assigned Administrative Law Judge may be found on the Office of Administrative Hearings’
web portal at www.azoah.com
If a party would like to move the date of the hearing without agreement of all parties,
the party must file a written motion with the Office of Administrative Hearings, directed to the
assigned Administrative Law Judge, and transmit a copy to the Registrar and all other parties.
The motion must state in detail good cause for why the date of the hearing should be advanced or delayed, and the position of all other parties regarding the advancement or delay. A party may also file a motion asserting a right to an expedited hearing upon a showing of extraordinary circumstances or the possibility of irreparable harm. A.R.S. § 41-1092.05(E).
RESOLUTION SHORT OF ADJUDICATION In any case which is resolved or settled by the parties, or which is withdrawn by the Complainant without objection from Respondent after the Notice of Hearing is issued, the parties must notify the Office of Administrative Hearings of the resolution or settlement. Any such cases will be listed on the Registrar’s website and its records under the category: “Closed Complaints – Resolved/Settled/Withdrawn.”

This Master Subcontract Agreement entered into this \"2.. day of�r_c\ �iJ.�.·;:___ L �, _?=C=l.l _ by and between Morgan Taylor Homes, LLC. (Contractor) and Subcontractor on the following terms and conditions:
Contractor wishes to utilize the services of Subcontractor to provide services to Contractor. Based upon the nature of the services provided by the Subcontractor, it is anticipated that it will be impractical to enter into a separate agreement for services each time Contractor desires to use Subcontractor.
Contractor requires that Subcontractor meet certain terms and conditions before Contractor uses Subcontractor's services. These terms and conditions are set forth in this agreement.
In order to expedite the use of Subcontractor's services each time they are needed, the parties agree to enter into and comply with this Master Subcontract Agreement prior to any actual services being performed. It sthe intent of the parties that these terms and conditions apply to any provision of services by Subcontractor regardless of whether these terms and conditions are referenced in any purchase order, subsequent contract memo, etc. during the term of this contract.
This Master Subcontract Agreement shall be in full force and effect from the date of signing unless canceled in writing by either party with 30-day notice. The cancellation of this agreement shall not negate any term or condition, such as the indemnity or insurance requirements.
Entering into this Master Subcontract Agreement shall not obligate either Contractor or Subcontractor to agree to any subsequent request for services or to any volume of business during the term of the policy. The intent is that if any services are procured and agreed to by both parties during the term of this Agreement, the terms and conditions of this Master Subcontract Agreement shall apply. If any terms and conditions on any preprinted written form from Contractor conflicts with this Master Subcontract Agreement, the terms of this Master Subcontract Agreement apply and supersede any other terms to the contrary.
Subcontractor acknowledges that the only means by which any Contractor employee or agent is authorized to procure services from the Subcontractor is in writing (email, purchase order, contract, memo, notice to proceed, etc.). Any oral request for services is expressly not authorized by Contractor's directors and Subcontractor may not rely upon any representation by any Contractor employee or agent to the contrary.
No request for payment by any Subcontractor will be approved by Contractor unless all terms and conditions of this Master Subcontract Agreement are fulfilled.

PROJECT BIDS AND PLAN BID PROPOSALS
8.1 Subcontractor shall provide Contractor with a written bid proposal that includes the scope of work, materials, and labor performance required to complete work in full and in a timely manner. Bid proposals shall be submitted by either specific projects or individual plan number.
8.2 Contractor shall provide specifications, information, and related documents to Subcontractors with "STANDARD ARCHITECTURAL PLANS, CUSTOM PLANS, or GRADING & DRAINAGE ENGINEERED PLANS" to submit bid proposals.
8.3 A bid proposal signed by Contractor shall be considered an "APPROVED CONTRACT AGREEMENT" between the Contractor and Subcontractor.
START ORDER/ WORK ORDER
9.1 Contractor will issue START ORDERS ("WORK ORDER") that specify work to be performed with each project. The site-specific START ORDER shall be incorporated into the Master Subcontractor Agreement and considered an agreement between the contractor and subcontractor to commence work per the approved bid. The Subcontractor agrees to perform the work until completion of the project. Contractor makes no promise, guarantee, representation, or commitment of any minimum or specified number of START ORDERS that shall be issued to the Subcontractor. 9.2 Time is of the essence in connection with Subcontractors obligation under all Start Orders. CONTRACT PRICE AND PAYMENT TERMS
10.1 Contractor agrees to pay Subcontractor the agreed upon sum in accordance with the terms of each agreement. The terms shall be mutually agreed upon with the acceptance of Bid Proposal. (hereinafter "Contract Price")
10.2 It is understood that the Contract Price shall not be increased or decreased except in accordance with a mutually agreement between Contractor and Subcontractor. Contract price change must be submitted in writing. Agreed upon Contract Price will be not be effective for a minimum of 30 days and will be based off of Start Date, not request ' date.
10.3 It is the responsibility of the Subcontractor to submit accurate invoices within 30 days of completion of work. Contractor shall not be responsible to pay delinquent invoices submitted after 90 days of completion of work.
10.4 At the time of submission for payment of invoices, the Subcontractor shall furnish fully executed Conditional Waivers and Releases on Progress Payments for itself and fully executed Unconditional Waivers and Releases on Progress Payments, from each of its material suppliers or sub trades which filed and served a Preliminary Twenty-Day Notice, in an amount equal to the payment(s) received from Contractor from the immediately preceding payment period. INDEMNIFICATIONS AND INSURANCE
11.1 The Work performed by the Subcontractor shall be at the risk of the Subcontractor exclusively. Subcontractor shall indemnify, defend, and hold harmless Contractor, the Seller and all of their respective agents and employees, for, from, and against any and all claims, liens, demands, liabilities, damages, losses and expenses, suits and actions, including attorney's fees arising out of, or resulting from, or alleged to have arisen out of, pertained to, or resulted from, the performance of Subcontractors' work including, without limitation, any claims, damage, loss, or expense.
11.2 Workers Compensation and Employers Liability Insurance subject to the statutory requirements under the Laws of the State of Arizona covering all employees.
11.3 Subcontractor shall carry general liability insurance and the Subcontractor shall provide Contractor with a Certificate of Insurance Naming Contractor as an additional insured hereunder. liability. The Subcontractor's insurance carriers must be "A-" rated or better. Subcontractor shall also carry and provide proof of workers' compensation.
11.4 The required Certificates of Insurance shall include actual attachments of applicable endorsement forms. The Certificate of Insurance and the insurance companies providing coverage shall be subject to the reasonable approval of Contractor and shall provisions fo r thirty (30) day prior notice of any change in or cancellation of the Subcontractor's insurance to Contractor or to Contractor's designee.
11.5 Failure to maintain the required insurance may result in termination of this Subcontract at Contractor's sole option.
11.6 If Subcontractor fails to maintain the insurance as set forth herein, Contractor shall have the right, but not the obligation, to purchase said insurance at Subcontractor's expense.
11.7 By requiring insurance herein, Contractor does not represent that coverage and limits will necessarily be adequate to protect subcontractor, and such coverage and limits shall not be deemed as a limitation on Subcontractor's liability under the indemnities granted to Contractor in this Contract..
11.8 All deductibles and self-insured retentions shall be fully funded by Subcontractor.
11.9 Annually, the Subcontractor shall supply Contractor with a new and replacement Certificate of Insurance. Not less than two weeks prior to the expiration, cancellation or termination, the Subcontractor will provide the contractor with a new additional insured endorsement naming the Contractor as an additional named insured.
11.10 Additionally, and prior to commencement of services, the Subcontractor shall provide Contractor with a Certificate of Insurance showing automobile liability insurance coverage for the Subcontractor and any employees, agents, or sub-Subcontractors of the Subcontractor for any vehicles (owned or non-owned) which enter Contractor's premises at the direction of the Subcontractor, its employees, agents, or sub-Subcontractors in relation to performance of the Work.
WORKMANSHIP
12.1 Perform all work necessary to meet the current building codes; perform tasks necessary to ensure the work or improvements match the plan's dimensions, specifications, and elevation details; maintain a clean and organized job site; sweep and place all waste in dumpster; agrees to allow Contractor to withhold amounts required to replace incorrect work or damaged material; withhold amount to pay other sub-contractors for correcting work incorrectly done giving Contractor sole authorization to determine amounts to be paid to make repairs; reimburse Contractor for cleaning and organizing job site if not done every day by Subcontractor; complete all work in a good and workmanlike manner free from defects.
WARRANTY AND REPRESENTATIONS
13.1 The Subcontractor represents and warrants that all materials, labor and/or systems furnished by the Subcontractor for the construction of all homes built by the Contractor shall be free of defect for a period of one year for workmanship and two years for systems.
13.2 If a defect of material or workmanship, or systems occurs within the above time frame, the Contractor will notify the Subcontractor of such defect and upon receipt of such notice, the Subcontractor shall immediately at its expense act to satisfactorily repair and/or replace the defective material and/or workmanship and/or systems. conciliation and arbitration mechanisms established under any home owners warranty program of the Contractor as such conciliations and arbitration related to mater ials and/or labor furnished by the Subcontractor.
SAFETYSTANDARDS
14.1 Subcontractor agrees that the Subcontractor and all employees of the Subcontractor are required to fully comply with and implement all government laws (OSHA) pertaining to safety standards. Subcontractor agrees that any fines, assessments or penalties imposed upon the Contractor by failure of the Subcontractor or his employees to comply with the government standards will be fully charged back and paid for by the Subcontractor.
14.2 Subcontractor shall provide all required job-site supervision, first aid, and safety equipment.
14.3 Subcontractor is responsible to maintain on site Material Safety Data Sheets (MSDS) for their work.
STORM WATER COMPLIANCE: DUST CONTROL; ENVIRONMENTAL COMPLIANCE
15.1 Subcontractor shall comply with Maricopa County Dust Control, Air Quality and Track-out regulations and requirements and with all applicable permits ("EP Permits"), and Contractor's Environmental Compliance Guidelines ("EP Guidelines"). Subcontractor shall implement the Best Management Practices set forth in the EPP for any and all work that it performs on the jobsite. Contractor shall be entitled to recover from Subcontractor all fines, fe es, expenses, and other penalties assessed by any governmental body due to Subcontractor violation of the EPP, Permits, Guidelines, or other obligations.
15.2 Subcontractor shall comply with Contractor's Storm Water Pollution Prevention Plan ("SWPPP"), all applicable storm water permits ("SW Permits"), and Contractor's Storm Water Compliance Guidelines ("SW Guidelines"). Subcontractor shall implement the Best Management Practices set forth in the SWPPP for any and all work that it performs on the jobsite. Contractor shall be entitled to recover from Subcontractor all fines, fees, expenses, and other penalties assessed by any governmental body due to Subcon tractor violation of the SWPPP, Permits, Guidelines, or other obligations herein.
CANCELLATION
16.1 Contractor reserves the right to cancel this Master Subcont ract Agreement in whole or in part if Subcontractor breaches this contract by failing to provide necessary services in a timely and workmanlike manner and does not correct such failure within ten (10) days of receiving written notice from Contractor specif ying such failure or if Subcontractor in any other respect repudiates or otherwise breaches the terms hereof, including the warranties of Subcontractor.

This Master Subcontract Agreement entered into this \"2.. day of�r_c\ �iJ.�.·;:___ L �, _?=C=l.l _ by and between Morgan Taylor Homes, LLC. (Contractor) and Subcontractor on the following terms and conditions:
Contractor wishes to utilize the services of Subcontractor to provide services to Contractor. Based upon the nature of the services provided by the Subcontractor, it is anticipated that it will be impractical to enter into a separate agreement for services each time Contractor desires to use Subcontractor.
Contractor requires that Subcontractor meet certain terms and conditions before Contractor uses Subcontractor's services. These terms and conditions are set forth in this agreement.
In order to expedite the use of Subcontractor's services each time they are needed, the parties agree to enter into and comply with this Master Subcontract Agreement prior to any actual services being performed. It sthe intent of the parties that these terms and conditions apply to any provision of services by Subcontractor regardless of whether these terms and conditions are referenced in any purchase order, subsequent contract memo, etc. during the term of this contract.
This Master Subcontract Agreement shall be in full force and effect from the date of signing unless canceled in writing by either party with 30-day notice. The cancellation of this agreement shall not negate any term or condition, such as the indemnity or insurance requirements.
Entering into this Master Subcontract Agreement shall not obligate either Contractor or Subcontractor to agree to any subsequent request for services or to any volume of business during the term of the policy. The intent is that if any services are procured and agreed to by both parties during the term of this Agreement, the terms and conditions of this Master Subcontract Agreement shall apply. If any terms and conditions on any preprinted written form from Contractor conflicts with this Master Subcontract Agreement, the terms of this Master Subcontract Agreement apply and supersede any other terms to the contrary.
Subcontractor acknowledges that the only means by which any Contractor employee or agent is authorized to procure services from the Subcontractor is in writing (email, purchase order, contract, memo, notice to proceed, etc.). Any oral request for services is expressly not authorized by Contractor's directors and Subcontractor may not rely upon any representation by any Contractor employee or agent to the contrary.
No request for payment by any Subcontractor will be approved by Contractor unless all terms and conditions of this Master Subcontract Agreement are fulfilled.

PROJECT BIDS AND PLAN BID PROPOSALS
8.1 Subcontractor shall provide Contractor with a written bid proposal that includes the scope of work, materials, and labor performance required to complete work in full and in a timely manner. Bid proposals shall be submitted by either specific projects or individual plan number.
8.2 Contractor shall provide specifications, information, and related documents to Subcontractors with "STANDARD ARCHITECTURAL PLANS, CUSTOM PLANS, or GRADING & DRAINAGE ENGINEERED PLANS" to submit bid proposals.
8.3 A bid proposal signed by Contractor shall be considered an "APPROVED CONTRACT AGREEMENT" between the Contractor and Subcontractor.
START ORDER/ WORK ORDER
9.1 Contractor will issue START ORDERS ("WORK ORDER") that specify work to be performed with each project. The site-specific START ORDER shall be incorporated into the Master Subcontractor Agreement and considered an agreement between the contractor and subcontractor to commence work per the approved bid. The Subcontractor agrees to perform the work until completion of the project. Contractor makes no promise, guarantee, representation, or commitment of any minimum or specified number of START ORDERS that shall be issued to the Subcontractor. 9.2 Time is of the essence in connection with Subcontractors obligation under all Start Orders. CONTRACT PRICE AND PAYMENT TERMS
10.1 Contractor agrees to pay Subcontractor the agreed upon sum in accordance with the terms of each agreement. The terms shall be mutually agreed upon with the acceptance of Bid Proposal. (hereinafter "Contract Price")
10.2 It is understood that the Contract Price shall not be increased or decreased except in accordance with a mutually agreement between Contractor and Subcontractor. Contract price change must be submitted in writing. Agreed upon Contract Price will be not be effective for a minimum of 30 days and will be based off of Start Date, not request ' date.
10.3 It is the responsibility of the Subcontractor to submit accurate invoices within 30 days of completion of work. Contractor shall not be responsible to pay delinquent invoices submitted after 90 days of completion of work.
10.4 At the time of submission for payment of invoices, the Subcontractor shall furnish fully executed Conditional Waivers and Releases on Progress Payments for itself and fully executed Unconditional Waivers and Releases on Progress Payments, from each of its material suppliers or sub trades which filed and served a Preliminary Twenty-Day Notice, in an amount equal to the payment(s) received from Contractor from the immediately preceding payment period. INDEMNIFICATIONS AND INSURANCE
11.1 The Work performed by the Subcontractor shall be at the risk of the Subcontractor exclusively. Subcontractor shall indemnify, defend, and hold harmless Contractor, the Seller and all of their respective agents and employees, for, from, and against any and all claims, liens, demands, liabilities, damages, losses and expenses, suits and actions, including attorney's fees arising out of, or resulting from, or alleged to have arisen out of, pertained to, or resulted from, the performance of Subcontractors' work including, without limitation, any claims, damage, loss, or expense.
11.2 Workers Compensation and Employers Liability Insurance subject to the statutory requirements under the Laws of the State of Arizona covering all employees.
11.3 Subcontractor shall carry general liability insurance and the Subcontractor shall provide Contractor with a Certificate of Insurance Naming Contractor as an additional insured hereunder. liability. The Subcontractor's insurance carriers must be "A-" rated or better. Subcontractor shall also carry and provide proof of workers' compensation.
11.4 The required Certificates of Insurance shall include actual attachments of applicable endorsement forms. The Certificate of Insurance and the insurance companies providing coverage shall be subject to the reasonable approval of Contractor and shall provisions fo r thirty (30) day prior notice of any change in or cancellation of the Subcontractor's insurance to Contractor or to Contractor's designee.
11.5 Failure to maintain the required insurance may result in termination of this Subcontract at Contractor's sole option.
11.6 If Subcontractor fails to maintain the insurance as set forth herein, Contractor shall have the right, but not the obligation, to purchase said insurance at Subcontractor's expense.
11.7 By requiring insurance herein, Contractor does not represent that coverage and limits will necessarily be adequate to protect subcontractor, and such coverage and limits shall not be deemed as a limitation on Subcontractor's liability under the indemnities granted to Contractor in this Contract..
11.8 All deductibles and self-insured retentions shall be fully funded by Subcontractor.
11.9 Annually, the Subcontractor shall supply Contractor with a new and replacement Certificate of Insurance. Not less than two weeks prior to the expiration, cancellation or termination, the Subcontractor will provide the contractor with a new additional insured endorsement naming the Contractor as an additional named insured.
11.10 Additionally, and prior to commencement of services, the Subcontractor shall provide Contractor with a Certificate of Insurance showing automobile liability insurance coverage for the Subcontractor and any employees, agents, or sub-Subcontractors of the Subcontractor for any vehicles (owned or non-owned) which enter Contractor's premises at the direction of the Subcontractor, its employees, agents, or sub-Subcontractors in relation to performance of the Work.
WORKMANSHIP
12.1 Perform all work necessary to meet the current building codes; perform tasks necessary to ensure the work or improvements match the plan's dimensions, specifications, and elevation details; maintain a clean and organized job site; sweep and place all waste in dumpster; agrees to allow Contractor to withhold amounts required to replace incorrect work or damaged material; withhold amount to pay other sub-contractors for correcting work incorrectly done giving Contractor sole authorization to determine amounts to be paid to make repairs; reimburse Contractor for cleaning and organizing job site if not done every day by Subcontractor; complete all work in a good and workmanlike manner free from defects.
WARRANTY AND REPRESENTATIONS
13.1 The Subcontractor represents and warrants that all materials, labor and/or systems furnished by the Subcontractor for the construction of all homes built by the Contractor shall be free of defect for a period of one year for workmanship and two years for systems.
13.2 If a defect of material or workmanship, or systems occurs within the above time frame, the Contractor will notify the Subcontractor of such defect and upon receipt of such notice, the Subcontractor shall immediately at its expense act to satisfactorily repair and/or replace the defective material and/or workmanship and/or systems. conciliation and arbitration mechanisms established under any home owners warranty program of the Contractor as such conciliations and arbitration related to mater ials and/or labor furnished by the Subcontractor.
SAFETYSTANDARDS
14.1 Subcontractor agrees that the Subcontractor and all employees of the Subcontractor are required to fully comply with and implement all government laws (OSHA) pertaining to safety standards. Subcontractor agrees that any fines, assessments or penalties imposed upon the Contractor by failure of the Subcontractor or his employees to comply with the government standards will be fully charged back and paid for by the Subcontractor.
14.2 Subcontractor shall provide all required job-site supervision, first aid, and safety equipment.
14.3 Subcontractor is responsible to maintain on site Material Safety Data Sheets (MSDS) for their work.
STORM WATER COMPLIANCE: DUST CONTROL; ENVIRONMENTAL COMPLIANCE
15.1 Subcontractor shall comply with Maricopa County Dust Control, Air Quality and Track-out regulations and requirements and with all applicable permits ("EP Permits"), and Contractor's Environmental Compliance Guidelines ("EP Guidelines"). Subcontractor shall implement the Best Management Practices set forth in the EPP for any and all work that it performs on the jobsite. Contractor shall be entitled to recover from Subcontractor all fines, fe es, expenses, and other penalties assessed by any governmental body due to Subcontractor violation of the EPP, Permits, Guidelines, or other obligations.
15.2 Subcontractor shall comply with Contractor's Storm Water Pollution Prevention Plan ("SWPPP"), all applicable storm water permits ("SW Permits"), and Contractor's Storm Water Compliance Guidelines ("SW Guidelines"). Subcontractor shall implement the Best Management Practices set forth in the SWPPP for any and all work that it performs on the jobsite. Contractor shall be entitled to recover from Subcontractor all fines, fees, expenses, and other penalties assessed by any governmental body due to Subcon tractor violation of the SWPPP, Permits, Guidelines, or other obligations herein.
CANCELLATION
16.1 Contractor reserves the right to cancel this Master Subcont ract Agreement in whole or in part if Subcontractor breaches this contract by failing to provide necessary services in a timely and workmanlike manner and does not correct such failure within ten (10) days of receiving written notice from Contractor specif ying such failure or if Subcontractor in any other respect repudiates or otherwise breaches the terms hereof, including the warranties of Subcontractor.

I’m writing in repose to the above-listed complaint. We have been working with Beebe Plumbing to try and resolve this situation. We have since issued a check for the following invoices which are listed in the complaint. Beebe invoice numbers 20233530, 20233758, 20233783, 20234002 and 20234448. Beebe has invoices in the complaint for extra noncontract work which we are disputing the exorbitant charges. We have charges due to us from Beebe when they abandoned the jobs which they were contracted for. These jobs are not completed yet so we do not have final billing from the plumber we had to have finish the work. We also have charges we paid for remediation repairs from Beebe plumbing leaks. Some of the Beebe invoices are for items/materials listed on the plans which should have been included in the contract price but Beebe billed us for these items separately. Until we have final billing we do not know how much we are owed or have to pay.
